Position of Bankruptcy Administrators

Abstract:

Prvotním cílem této diplomové práce je celková analýza stávajícího postavení správce konkursní podstaty podle platné právní úpravy ve všech fázích konkursního řízení, v návaznosti na připravovanou rekodifikaci úpadkového práva. V jednotlivých kapitolách je popsána činnost správce konkursní podstaty, jeho práva a povinnosti a zároveň problémy, které s sebou jeho funkce přináší. V závěru práce je pak nastíněn obsah připravované rekodifikace, její zhodnocení a zamyšlení se nad budoucí i současnou úpravou s některými návrhy z pohledu de lege ferenda. Téma své diplomové práce jsem si vybral především z toho důvodu, že úpadkové právo je v současnosti velmi diskutovanou veličinou a v příštích měsících by mělo projít kompletní přestavbou po vzoru moderních zahraničních úprav, která s sebou přinese mnoho nového a do této doby neznámého. Zároveň je to také oblast, která podléhá mému osobnímu zájmu. Úpadkové právo je vzhledem ke své provázanosti nejen s různými odvětvími práva, ale i s mnoha jinými obory, jako je například ekonomie, management atd., velmi specifickou a svým způsobem unikátní oblastí práva. Jelikož je v současnosti advokátní praxe velmi přeplněna a pro mnohé absolventy je čím dál tím těžší najít odpovídající zaměstnání, skýtá podle mého názoru úpadkové právo do budoucna kvalitní příležitost k uplatnění budoucích svědomitých právník. Konkursní řízení je nyní terčem většiny médií, a to hlavně v souvislosti s mnohými majetkovými úniky. K těmto únikům dochází z části díky nekvalitní právní úpravě obsahující mezery, kterých některé osoby s nízkým mravním vědomím spolehlivě využívají ke svému obohacení, ale z části i kvůli obcházení zákona tam, kde byl zákonodárce svědomitý. Připravovaná rekodifikace by měla mnohé vyřešit a vnést světlo do úpadkové problematiky a doufám, že k tomu přispěje svým skromným dílem i tato diplomová práce.

Abstract:

This diploma work is focused on the position of bankruptcy administrator (may be called also "bankruptcy trustee" ) in every stadium of bankruptcy proceedings in Czech republic. In this summary I'll use the term "bankruptcy trustee". The topic was chosen in dependence on insufficient actualities of bankruptcy proceedings and preparing entire reenactment of the bankruptcy law. I hope, that this diploma work contributes to better view of bankruptcy law and ofcourse to better view of the bankruptcy trustee, in every kind of activity, he does. After the short introduction comes a historical treatise of the evolution of the legal institute of bankruptcy trustee. Beginning of this institute is dated in the age of Roman law. Ofcourse it was not the same one as well as in these days, but it had a lot of common. The final result after the long evolution is the legal act num. 328/1991 Sb., as amended, that is in force till now. In the next chapter I firstly analysed the sources of the legal regulation of bankruptcy trustee and their relation to another legal legislations. I found out, that batkruptcy proceedings is very closely related with lots of another legal legislation and therefore must be interpret very carefully and properly. This fact makes from bankruptcy law a very difficult area of law. After this, I described the way, how to become an bancruptcy trustee, in concrete the conditions, that must be fulfiled, and the rules of administration of the register of bankruptcy trustees. In this chapter is also mentioned an institute of the special bankruptcy trustee, preliminary bankruptcy trustee and the representative of bankruptcy trustee. After the treatise of renumeration, which belongs to the bankruptcy trustee after he accomplishes his work, I analysed the main rights and duties of him. In the next part of my diploma work I focused on the position of bankruptcy trustee in particular stadiums of bankruptcy proceedings. I started with the prepairing stadium, in witch is given the petition for bankruptcy order and the conditions of proceedings are inspected. There are described all of the elements, that every petition for bankruptcy order must contain. Also is mentioned the protective period. The following chapter is engaged in the second stadium of bankruptcy proceedings, called stadium of adjudication of bankruptcy. The adjudication of bankruptcy breed many effects, that are just desribed in this part of the diploma work. In addition there are analysed the basic elements of the resolution to declare bankruptcy and the rights and duties of bankruptcy trustee, that are related with the adjudication of bankruptcy. The principle of whole bankruptcy proceedings consist in the self stadium of bankruptcy proceedings. In this stadium, I mostly went in for bankrupts estate, inventory of the bankrupt's estate and ofcourse the estate, whitch can be put into the inventory. There is also speaked on submiting claims and commitee of creditors. In my opinion, very important is the rubric of the bankruptcy trustee's occasion to challenge invalidity, ineffectiveness and challenge some legal acts of debtor. The final stadium of the bancruptcy prceedings deals with the realization of the bankrupts estate and the shedule of the distribution of proceeds from the realization of property. Above all I tried to mentioned all of the possible kinds of realization and evaluate the best one. Furthermore, there is explained the method of distribution of assets among creditors and satisfaction of separate creditors. After that follows the cancellation of bankruptcy proceedings and all of the effects related with it. As the last one in this chapter, there is analysed a compulsory composition with creditors. This is an alternative way, how to solve the bankruptcy, by the banruptcy proceedings. At first I'd tried to render an account of insufficiencies and problems of simultaneous legal regulation of bakruptcy law and after that I proceeded to a new bill, that has a good chance to be successful. This bill innovates new methods of solving the bykruptcy. Among the most important belongs the reorganization of the bankrupts company and the discharge from debts by the individuals. There are described all substantial changes, that can we expect from the new legal regulation, specially the changes of the position of bankruptcy trustee. In these days, the bill is waiting only for the passage in senate and by the president of Czech republic. According to that, we can expect, that it will be accepted in several following months. In the whole part, there are mentioned some suggestions de lege ferenda, but in concrete I attend to them as late as in following chapter. In the named last chapter, I took a think about simultaneous position of bankruptcy trustee and refered to some suggestions de lege ferenda. At the end of the diploma work is a summary and a list of used sources. I have no choice but to wish a high - quality bankruptcy law.
