Dissolution of a Company

Abstract:

Tématem bakalářské práce je zrušení obchodní společnosti, jako sdružení soukromého práva – práva obchodního. Práce se zaměřuje na obecné otázky zrušení obchodní společnosti, ale pohlíží též hlouběji do problematiky tím, že se dále zaměřuje na zrušení společnosti s likvidací z rozhodnutí společníků, resp. orgánu společnosti, a vypočítává rozdílnosti institutu u jednotlivých forem obchodních společností, včetně společností nadnárodních. Není opomíjena ani praktická stránka tématu, tedy pohled judikatury a její vliv na aplikaci institutu. Se zrušením společnosti je spojen zásah do práv třetích osob. Tato práva musí být právním řádem náležitě chráněna, proto je úprava zrušení společnosti zaměřena zejména na zájmy těchto osob.

Abstract:

The subject matter of the bachelor work is dissolution of a company, as an association of civil law – company law. The work focuses on general questions of dissolution of company, but also looks upon the view for dissolution of company by liquidation through corporate resolution, and enumerates differences in the institute between various types of companies, including transnational companies. It is included also practice point of topic, which is practice of the courts and its impact on application of the institute. The intervention to the third part rights is linked with the dissolution of company. These rights must be protected by the law properly, therefore legal regulations of dissolution of company is based on protection of these rights.
