Abstract:

V této bakalářské práci na téma "Způsoby zániku funkce člena představenstva v akciové společnosti" jsem si kladla za cíl shrnout problematiku týkající se této oblasti. Přímo o zániku funkce člena představenstva se v obchodním zákoníku nikde nehovoří, pouze v souvislosti se skutečnostmi vedoucími k zániku funkce, demonstrativně uvedenými v § 194 odst. 2 ObchZ, se uvádí povinnost společnosti zvolit do tří měsíců nového člena představenstva, za porušení této povinnosti se přitom nestanovuje žádná sankce. Odstoupení z funkce člena představenstva, anebo odvolání člena představenstva, jako volní způsoby zániku funkce v představenstvu, umožňují jak zvolenému členu, tak i společnosti ukončit jejich vzájemný vztah ještě před uplynutím funkčního období člena. V případě odstoupení je společnost navíc chráněna před okamžitou rezignací člena dispozitivní dvouměsíční lhůtou. Určité nejasnosti se v případě odstoupení projevovaly ve stanovení okamžiku jeho projednání a i v procesu odvolání mohl být konfliktním bodem okamžik účinnosti odvolání vůči konkrétnímu členu představenstva, na dané otázky nám v zásadě dává odpověď judikatura a odborná literatura. Pozitivem u těchto obou způsobů zániku funkce je možnost stanovit ve stanovách společnosti oprávněným orgánem představenstvo pro odstoupení a dozorčí radu pro odvolání a zajistit tím akceschopnost společnosti vůči členům představenstva, které chce odvolat, anebo kteří z funkce sami odstupují. S uplynutím funkčního období, nejpřirozenějším a bezkonfliktním způsobem zániku funkce, je spojena následná dodatečná tříměsíční lhůta, až jejím marným uplynutím zanikne funkce člena představenstva, společnost je tím ochráněna, je zajištěna funkčnost statutárního orgánu a v této lhůtě získá společnost další prostor k nalezení a volbě či jmenování nového člena. Obdobně, uplynutím doby do konání nejbližší valné hromady, zanikne funkce i kooptovaným členům představenstva, s tím rozdílem, že případná dodatečná tříměsíční lhůta je v jejich případech nepřípustná. Jistá názorová diference, i když se vzájemně nevylučující, je spojena se zánikem funkce volbou nového člena představenstva, v zásadě jde o názory, že k zániku funkce tímto způsobem dojde pouze buď až po skončení funkčního období člena, anebo pouze novou volbou všech členů nebo jednoho konkrétního člena představenstva, jako přijatelnější se jeví první varianta. V určitých případech může zaniknout funkce člena představenstva přímo ze zákona, jedná o případy ztráty způsobilosti k výkonu funkce, a jestliže rejstříkový soud zamítne návrh na zápis člena statutárního orgánu do obchodního rejstříku. V prvním případě je společnost, na jedné straně chráněna, před tím, aby členy statutárního orgánu byly nadále osoby, které přestaly splňovat zákonné podmínky pro výkon funkce, anebo se podílely v obdobné funkci na "bankrotu" jiné společnosti, na druhé straně se společnost ocitne v situaci, kdy náhle nemusí mít plně obsazený statutární orgán, a musí zvolit nebo jmenovat nového člena. Pozitivně lze, v této souvislosti, hodnotit možnost nepřihlížet k určitým překážkám výkonu funkce a potvrdit za určitých okolností takového člena ve funkci. Ve druhém případě, zamítl-li rejstříkový soud návrh na zápis člena představenstva do obchodního rejstříku, musí společnost poté řešit především důsledky jeho jednání s třetími osobami, které byly v dobré víře a také personální doplnění statutárního orgánu. ákoník neobsahuje jednotné obecné pravidlo pro zánik funkce a některé výkladové postupy jsou stále předmětem diskuze, je nutné každý zánik funkce posoudit vzhledem k okolnostem a skutečnostem, které vedou k zániku funkce člena představenstva akciové společnosti.

Abstract:

The aim of this bachelor thesis dealing with the subject matter of "Methods of extinction the office as a member of the board of directors in joint-stock company" has been to sum up the issues relating to this field. Cessation of the office of a member of the board of directors as such is directly not mentioned in the Commercial Code; Section 194 par. 2 of the Commercial Code in connection with the circumstances demonstratively indicated therein only states the duty of the company to elect a new member of the board of directors within three months, nonetheless no sanction is imposed for breach of this duty. Resignation from the office of a member of the board of directors or removal of a member of the board of directors, as volitional manners of cessation of the office in the board of directors, enable both the elected member and the company to terminate their mutual relation prior to expiration of the term of office of the member. In case of resignation from office the company is in addition protected against resignation of a member with immediate effect by a two-month discretionary period. There has been certain ambiguity in connection with resignation in determining the moment of its discussion, and also within the procedure of removal of a member the moment as of which the removal becomes effective in relation to a particular member of the board of directors could become a point at issue. Answers to the foregoing questions may be in principle found in judicature and specialist literature. The positive aspect of these two manners of cessation of the office is the possibility to determine in the articles of association of the company that the authorized body of the company for dealing with resignations shall be the board of directors and the supervisory board for dealing with removals and thus to ensure capacity of action of the company in relation to members of the board of directors that it intends to remove or that wish to resign from their office themselves. Subsequent additional three-month period exists in connection with expiration of the term of office, the most natural and conflict-free manner of cessation of the office, only upon the expiration of which to no avail the office of the member of the board of directors ceases to exist; the company is thereby protected, the functionality of the statutory body is ensured, and the company is within this period provided with additional space for selection and election or appointment of a new member. Similarly, by expiry of the period until the nearest general meeting, the office of co-opted members of the board of directors also ceases to exist, with the difference that any additional three-month period is in this case inadmissible. Certain differences of opinion, even though not mutually exclusive, appear also in connection with cessation of office by election of a new member of the board of directors; in principle this concerns the views that the office ceases in this manner either upon expiration of the term of office of the member, or only by a new election of all members or one particular member of the board of directors; the first alternative seems to be more acceptable. In certain cases the office of a member of the board of directors may cease directly by law; such cases include the event of loss of competence to exercise the office and rejection of a proposal to register a new member of a statutory body in the Companies Register by the registration court. In the former case the company is on the one hand protected against continuing to have as members of the statutory board persons that ceased to meet the statutory conditions for holding the office or have been engaged in a similar office in a "bankruptcy" of another company; on the other hand the company is suddenly faced with a situation when the offices of its statutory body may not be fully filled and the company must elect or appoint a new member. he possibility not to take certain obstacles of the exercise of the office into account and to confirm such member in the office under certain circumstances. In the latter case, if a registration court has rejected a proposal for registration of member of the board of directors in the Companies Register, the company has to deal with the consequences of their interactions with third parties that have been undertaken in good fait, as well as with the question of filling the offices of the statutory body. The analysis of individual manners of cessation of the office shows us that each of them is applicable in a different situation and each has its advantages and disadvantages. Since the Commercial Code does not provide a universal general rule for cessation of the office and some interpretation procedures are still subject to discussion, it is necessary to consider each cessation of the office with regard to the circumstances and events leading to the cessation of the office of a member of the board of directors of a joint stock company.
