Consolidation of corporations as a way for enterprise development

Abstract:

Cílem mé diplomové práce je nastínit význam fúzí a akvizic v dnešní globalizující se společnosti, průběh těchto transakcí a jejich ekonomický dopad na daný podnik. V teoretické části se zaměřuji na vymezení klíčových pojmů, na motivy vedoucí podniky k fúzování, typy fúzí a v neposlední řadě také na legislativu a kontrolní orgány schvalující tyto transakce. Ve druhé polovině této části popisuji celý proces fúzování. Teoretickou část zakončuji historickým vývojem až po současnost. V praktické části se věnuji rozboru fúze leteckých společností Air France a KLM (Royal Dutch Airlines), která je prvním takto obrovským spojením v tomto odvětví. Úvod je zaměřen na analýzu trhu a jednotlivých souvislostí vedoucích k pochopení celé problematiky. Na tuto kapitolu navazuje rozbor výše zmíněné fúze, který obsahuje fázi příprav, realizace a průběh spojení. Závěr patří důsledkům, které fúze přinesla a situaci Air France/KLM Group v současnosti.

Abstract:

The goal of my dissertation is to specify importance of mergers and acquisitions in contemporary globalized society, process of those transactions and their economic impact on the company. Methodical part describes how to define key concepts, company motives to mergers, types of mergers and acquisitions and last but not least the legislation and control institutions approving these operations. The second section of the methodical part is to focus on the whole merger process. The end of this section is about the history of mergers from the beginning to the present day. Practical passage deals with the merger between two large airline companies - Air France and KLM (Royal Dutch Airlines). This gigantic connection is the first so great merger in airline sector. Introduction of this part is to focus on the analysis of airline market and on other contexts linked with airline issues. The following chapter describes the case study of the merger including a lead time period, execution and consequences of this connection. Last part displays Air France/KLM Group in facts at present.
