Rozhodnutí orgánu obchodní korporace, na která se hledí, jako by nebyla přijata, počala literatura označovat jako fikce nepřijetí rozhodnutí. Jedná se o nově zavedený pojem pro rozhodnutí orgánu obchodní korporace, kterým právo upírá právní účinky. Pravá podstata této sankce zůstala prozatím stranou pozornosti odborné veřejnosti. Resolutions of a commercial corporation body that are recognized as not adopted have been nowadays designated as legal fiction of a non-adoption of a resolution.
