Review procedure in process of public procurement

Abstract:

V souvislosti s právní úpravou zadávání veřejných zakázek je v prvé řadě nutné poukázat na zásadní otázku spojenou s tím, zda je vztah mezi zadavatelem a účastníky zadávacího řízení (dodavateli) soukromoprávní či veřejnoprávní povahy. Právní úpravu veřejných zakázek lze podle její povahy rozdělit na dvě části, a to zadávání veřejných zakázek a dohled nad ním. Část týkající se zadávání veřejných zakázek vymezuje pojmy a vlastní průběh zadávacího řízení, včetně forem zadání veřejné zakázky, a dále definuje postupy vedoucí k výběru nejvhodnější nabídky a podpisu smlouvy. Z tohoto úhlu pohledu je veřejná zakázka především obchodem a veškeré úkony mezi zadavatelem a uchazečem (zájemcem) o veřejnou zakázku jsou tedy činěny v obchodněprávních (soukromoprávních) vztazích. Zadavatel nevystupuje při zadávání veřejné zakázky a vynakládání veřejných prostředků jako veřejnoprávní orgán v nadřazeném postavení, nýbrž jako subjekt v rovnoprávném postavení s uchazeči. Zákon o veřejných zakázkách upravuje tzv. předkontraktační stadium, tedy postup vedoucí k uzavření smlouvy. Samotná smlouva na veřejnou zakázku je přitom zpravidla uzavírána podle příslušných ustanovení obchodního zákoníku. Provázanost právní úpravy zadávání veřejných zakázek a obchodního zákoníku je v neposlední řadě možné spatřovat v možnosti podpůrného použití právní úpravy veřejné obchodní soutěže obsažené v obchodním zákoníku, která byla stanovena v § 3 odst. 1 zákona č. 199/1994 Sb. Část týkající se dohledu nad zadáváním veřejných zakázek vymezuje pravomoci Úřadu pro ochranu hospodářské soutěže jako orgánu dohledu nad zadáváním veřejných zakázek, týkající se posuzování souladu postupu zadavatele se zákonem, a upravuje jednotlivé instituty a průběh přezkumného řízení u orgánu dohledu. Tento přezkum je prováděn v intencích příslušné části zákona o veřejných zakázkách se subsidiárním použitím správního řádu (správního řízení). Z tohoto úhlu pohledu jsou do přezkumného řízení v rámci zadávání veřejné zakázky promítány vztahy veřejnoprávní povahy (mezi zadavatelem a uchazeči o veřejnou zakázku jako účastníky správního řízení na straně jedné a orgánem dohledu na straně druhé), kdy Úřad pro ochranu hospodářské soutěže jako orgán státní správy vystupuje v nadřazeném postavení ve vztahu k účastníkům řízení. Cílem této práce je nastínit problematiku zadávání veřejné zakázky především z pohledu vztahů veřejnoprávní povahy, ačkoliv tak nelze činit bez (byť informativního) seznámení se základními instituty a souvisejícími principy povahy soukromoprávní. Práce mapuje jak právní úpravu v oblasti zadávání veřejných zakázek účinnou v době autorčina působení na Úřadě pro ochranu hospodářské soutěže (zákon č. 199/1994 Sb. a zákon č. 40/2004 Sb.), tak (a to především) právní úpravu provedenou zákonem č.137/2006 Sb., o veřejných zakázkách, účinným od 1. 7. 2006. Odlišnost úpravy stěžejních právních institutů v jednotlivých zákonech je zachycena metodou komparace.

Abstract:

The text deals with the so called „review procedure“ in the process of public procurement. The public procurement law is described as a specific branch of the law system which includes both elements of public and private law. In the first historical part the author deals with development of the Czech public procurement legislation from 1918 to 1995. The historical part is divided into three main parts: 1. The public procurement legislation since 1918 to 1948, detailed description of the government regulation no. 667/1920 Coll., on the public procurement of services and goods and description of public procurement procedures managed by local administrations. 2. The public procurement legislation since 1948 to 1990, brief description of the so called „General conditions for the Construction“ of 1947 and use of competition procedures during this period. 3. The public procurement legislation since 1990 to the adoption of the new Act on Public Procurement in 1994, brief analysis of „The Public Procurement regulation on the Competition" from the years 1990, 1991, 1992 and the so called „Competition regulation“ adopted by the Chamber of Architects in 1993. The new Act on Public Procurement (no. 1994/1999 Coll.) defined legal concepts related to the public procurement, such as „public contract“ or „contracting authority“ and created the legal basis of the modern public procurement legislation, especially the Act on Public Procurement (no. 40/2004 Coll.). The Office for the Protection of Competition as a part of public administration gained its important position in the sphere of review procedure in 1996. The institution, its structure and functions are described in the text. From the point of view de lege ferenda, the most important part of „reforms“ is to bring the Czech law system into harmony with the European law. The first step, having been done, is the new Act on Public Contracts (no. 137/2006 Coll.). In the third chapter The Office for the Protection of Competition (hereinafter referred to as “the Office”) is described as the central authority of state administration responsible for creating conditions that favour and protect competition, supervision over public procurement and consultation and monitoring in relation to the provision of state aid. In the period of 1992 to 1996, the Office functioned as the Ministry for Competition. As a central body of the state administration, the Office is entirely independent in its decision-making process. The office is not headquartered in Prague, but in Brno, in order to proclaim its independence. The Office is headed by a Chairman, nominated by the Government and appointed by the President of the Czech Republic. The term of his office is six years, and nobody may stay in the office more than two terms. The Chairman must not be a member of any political party or political movement. The Office has its important place in public procurement supervision review, the purpose of which is to use the public funds economically and in accordance with the competition rules. The Office has exercised its supervision over this area since 1995. The Offices task is to achieve, mainly through its decision-making activities, a free and open competition between the suppliers, along with a selection of the best proposal in a transparent manner devoid of any discrimination. The ultimate goal is the preservation of public funds. The parties should treat the individual tenders responsibly and suppress especially the cases that circumvent the public procurement law. That refers particularly to those situations where, by intent or by negligence, a contract amounting to millions of Czech crowns is awarded directly to a specific firm without taking advantage of competitive bidding in a competitive climate. ory treatment of the individual bidders. The basis of the text is created by the characterization of the public procurement review procedure as a specific type of administrative procedure which is influenced by subsidiary use of the administrative law institutes (documents inspection, oral proceedings, …). The public procurement review procedure is initiated as a rule by a proposal. The proposal can be filed against all practises of the contracting entity, which preclude transparency or non-discriminatory procedure for the award of public contracts. The proposal shall contain all the legal essentials (shall clearly state who submits it, which subject matter it relates to, what infrigement has allegedly occurred and what the petitioner claims, shall be signed and dated and the evidence of the receipt of complaints by the contracting entity shall be supplemented). If the Office detects a breach of the law, it may opt for what is called remedial measures, such as reinstating the unjustly excluded bidder to the process, or cancelling the entire tender. Should the contract be completed by the time the Office finds indications that the law had been broken, it cannot impose remedial measures, only penalties. The Office's proceedings take place in two stages. The first ruling is rendered at the appropriate directors level. If the ruling is contested, the Offices Chairman issues a final verdict. His decision is based on a proposal from the appellate committee as his advisory body. The members of the appellate committee are mostly experts who are not the Offices employees. Firms may file a complaint against the Offices final decision at the following courts: Regional Court and Supreme Administrative Court, both in Brno. Since May 1, 2004, the law of the European Union has been directly applicable to the territory of the Czech Republic. The Office therefore works closely with the European Commission. This process had projected to the national legislation by ACT no. 40/2004 Coll. on Public Procurement which became ineffective since July 1, 2006, when Act no. 137/2006 Coll. on Public Contracts and Act no. 139/2006 Coll. on Concession Contracts and Concession Procedures (Concessions Acts) came into force.
