Responsibility of the Members of Organs of Foundation

Abstract:

Diplomová práce na téma odpovědnost členů orgánů nadace se skládá ze sedmi kapitol. Stěžejním je zde standard péče řádného hospodáře v oblasti fundací ve srovnání s oblastí obchodních společností. Dále je pozornost zaměřena na postavení zakladatele nadace a možné omezení jeho nadační svobody. V diplomové práci je také popsáno možné využití Corporate Governance standardů pro fundační oblast. Cílem práce je zhodnocení obecně možného využití standardů obchodních korporací pro fundační svět a posouzení odpovědnosti za porušení péče řádného hospodáře.

Abstract:

This Diploma Thesis named Responsibility of the Members of Foundation Bodies contains seven chapters. The Thesis is focused on the standard of due managerial care in foundation sphere compared to business corporation sphere. Further, the Thesis is focused on the status of a Foundation Settlor and possible limitations of their foundation freedom. The Thesis also describes a possible use of Corporate Governance standards in foundation sphere. The aim of the Thesis is to assess the general possibility of making use of business corporation standards in foundation sphere as well as the responsibility for the violation of due managerial care.
