Transfer of rights and obligations from labour-law relations (transfer of undertakings) in case law of the Court of Justice of the European Union and the Supreme Court of the Czech Republic

Abstract:

Předmětem této rigorózní práce je analýza právní regulace přechodu práv a povinností z pracovněprávních vztahů včetně relevantní judikatury Soudního dvora Evropské unie a Nejvyššího soudu České republiky. Cílem práce je zejména poukázat na aplikační nejasnosti právní úpravy, pokusit se nalézt za pomocí judikatury řešení nejasných otázek a navrhnout vhodnou úpravu de lege ferenda. Úvodní část práce podrobně vymezuje předpoklady, za nichž dochází k přechodu práv a povinností dle evropské a české legislativy. Další kapitoly práce jsou věnovány jednotlivým mechanismům, které mají zajistit ochranu nabytých práv zaměstnanců v případě změny zaměstnavatele, zejména automatickému přechodu práv a povinností, zákazu propouštění a informační a projednací povinnosti se zástupci zaměstnanců. Závěr práce obsahuje návrhy de lege ferenda.

Abstract:

The subject of this thesis is the analysis of the legal regulation of transfer of rights and obligations from labour-law relations including relevant case law of the Court of Justice of the European Union and the Supreme Court of the Czech Republic. The aim of this thesis is to call attention to application uncertainties of the legal regulation and with the aid of the case law to try to address those uncertainties and propose a suitable regulation de lege ferenda. The introductory part briefly defines the conditions under which the rights and obligations are transferred both according to the Czech and European law. Subsequent chapters examine the individual mechanisms which safeguard the acquired rights of employees in the case of a change of the employer, especially the automatic transfer of rights and obligations, the prohibition of dismissal and information and consultation obligations with the representatives of the employees. The conclusion contains suggestions de lege ferenda.
