Principal-agent Problem and its Solution
Abstract:
Diplomová práce se zabývá problémem vztahu principal-agent a jeho řešením v korporačním právu. Nejprve rozebírá teoretické základy problému zastoupení, tři základní korporační vztahy, u kterých k problému zastoupení dochází, dále uvádí možné mechanismy řešení problému, obecný základ struktury korporace a nakonec provedení právních mechanismů v obchodním zákoníku a zákoně o obchodních korporacích.
Abstract:
This thesis focuses on the principal-agent problem and its solutions within the frame of corporate law. At first it introduces a theoretical background of the agency problem, three main agency problems within a firm and legal mechanisms for coping with the agency problem.
