Tato práce se zabývá tématem žalob, které podává společník kapitálové obchodní společnosti jejím jménem proti členovi statutárního orgánu, který způsobil společnosti škodu tím, že porušil svoje fiduciární povinnosti. The thesis is focused on the lawsuit brought on behalf of a corporation by its member against its directors to seek redress for a breach of fiduciary duty. However, available data show that members of companies in Czech jurisdiction have made very little use of this tool.
