Abstract:

Tato diplomová práce se zabývá smluvní pokutou, což je jeden ze způsobů utvrzení dluhu. V úvodu se tato práce věnuje zasazení smluvní pokuty do systému soukromého práva, rozdílem mezi utvrzením a zajištěním dluhu a funkcím smluvní pokuty. Následuje přehled historie právní úpravy smluvní pokuty. Čtvrtá kapitola pojednává o požadavcích ohledně platného sjednání smluvní pokuty. Další kapitola pojednává o moderačním právu soudu a jednotlivých otázkách týkajících se tohoto tématu. Dále se tato práce věnuje akcesorické povaze smluvní pokuty a důsledkům s tímto spojených. Osmá kapitola práce se věnuje vztahu smluvní pokuty k náhradě škody, penále, úrokům z prodlení a odstupnému. Devátá kapitola této práce se zabývá limitací smluvní pokuty v některých specifických závazcích. Závěr této práce je věnován smluvní pokutě v procesních souvislostech a jejími specifiky v insolvenčním řízení.

Abstract:

The thesis is devoted to Contractual Penalty as in instrument of corroboration a debt. The Introductory Chapter is focused on the place of Contractual Penalty in the system of Czech Private Law, the difference between a corroboration of a debt and a security of a debt and functions of Contractual Penalty. Following Chapter examines the legislation of Contractual Penalty through history. Chapter Four of the thesis focuses on the valid negotiation of Contractual Penalty. Next Chapter provides a deeper look at Court Moderation right and individual issues related to this topic. Part of the thesis focuses on accessory nature of Contractual Penalty and on its consequences. The Eighth Chapter is devoted to the relationship of Contractual Penalty with damage compensation, penalties, interest on late payments and severance pay. The Ninth Chapter deals with the limitations of Contractual Penalty in specific obligations. The final part of the thesis is devoted to the procedural context of Contractual Penalty and to the specifics within insolvency proceedings.
