Práce pojednává o nových motivačních mechanismech v zákoně o obchodních korporacích, které budou svou sankční povahou odrazovat členy orgánů od porušování jejich povinností, a to především povinnosti jednat s péčí řádného hospodáře. The thesis elaborates on the New Motivational Mechanisms in the New Czech Corporate Code. These mechanisms which are to motivate Corporate Board Members to behave in accordance with the Code are to be enforced through various sanctioning means also related to insolvency proceedings.
