The analysis of methods transformation of the company from the perspective of optimizing the financial structure and economical efficiency

Abstract:

Tato práce je zaměřena na obecnou charakteristiku obchodních společností a možností jejich přeměn. Transformace na holdingové uspořádání je v současnosti moderním řešením restrukturalizace a optimalizace výkonnosti středních a velkých firem. Na vybrané obchodní společnosti je popsán a analyzován proces přeměny rozdělením odštěpením sloučením dle dat z výročních zpráv, účetních výkazů a informací z projektu přeměny. Na základě zjištěných údajů bylo dosaženo cílů, které si rozdělovaná společnost stanovila, avšak řešení holdingového uspořádání je dle výsledků předčasné. Možné jiné řešení naznačeno v závěru této práce.

Abstract:

This thesis is focused on the general characteristics of commercial companies and their possibilities to change. The transformation into holding companies is nowadays a modern solution to restructuring and efficiency optimization of medium-sized and large enterprises. A commercial company is used to describe and analyse the process of transformation by dividing separating and combining based on the data from annual reports, financial statements, and information from the transformation project. On the ground of the findings, the aims the company have set have been achieved. However, according to the results, the transformation into a holding company is premature. Another possible solution is indicated in the conclusion of the thesis.
