Reorganisation in Kordárna, a.s.

Abstract:

Diplomová práce obecně popisuje insolvenční řízení a zaměřuje se na reorganizaci jedné konkrétní společnosti. Uceleně popisuje a vysvětluje unikátní případ reorganizace ve společnosti Kordárna, a.s., analyzuje ho z účetního hlediska a zhodnocuje provedenou reorganizaci ve srovnání s reorganizačním plánem.Práce byla zpracována rozborem více než dvou set dokumentů z veřejných rejstříků o několika stovkách stran.Reorganizace společnosti Kordárna, a.s. byla jednou z prvních úspěšných reorganizací v takovémto rozsahu. Tento proces byl zdlouhavý a velmi složitý s cílem zdravou část závodu oddělit za plného provozu. Jádrem reorganizace byl vklad závodu do nově založené společnosti Kordárna Plus, a.s., která byla následně prodána. Pohledávky věřitelů společnosti Kordárna, a.s. byli uspokojeny z tohoto výtěžku. Jednalo se nicméně o velmi malý zlomek jmenovité hodnoty pohledávek. Účetní hodnota vkládaného jmění byla oproti prodejní ceně podílu ve společnosti Kordárna Plus, a.s. téměř 2,5násobná. Navzdory tomu, že reorganizace stála věřitele mnoho peněz, podařilo se cíle vytyčené reorganizačním plánem splnit.

Abstract:

The thesis describes insolvency proceedings in general and focuses on reorganisation in one specific company. It comprehensively describes and explains the unique case of reorganisation in Kordárna, a.s., analyses it from the accounting point of view and evaluates the performed reorganisation in comparison with the reorganisation plan.More than two hundred documents of several hundred pages from public registers were used as sources for the thesis.The reorganisation in Kordárna, a.s. was one of the first successful reorganisations of such extent. The process was protracted and very complicated, with aim to separate the healthy part of the enterprise while in full operation. The essence of the reorganisation was the contribution of the enterprise into the newly established company Kordárna Plus, a.s., which was sold afterwards. This yield was used to satisfy the claims of the creditors of Kordárna, a.s. However, it was a tiny fraction of the nominal value of the claims. The book value of the assets, which were the subject of the contribution, is in comparison with the selling price of the share in Kordárna Plus, a.s. almost 2.5 times higher. Despite the fact that the reorganisation cost the creditors a lot of money, the goals set out in the reorganisation plan had been met.
