Dispositional Acts in Contractual Relations and their Legal Regime

Abstract:

Diplomová práce se zabývá dispozičními úkony, tedy právními jednáními, která mění, převádí, ruší či zatěžují určité právo. Cílem je objasnit, jaké následky dispoziční úkony vyvolávají, pokud jsou uplatněny navzdory smluvnímu (či zákonnému) zákazu. V úvodu se práce věnuje započtení pohledávek, výpovědi a odstoupení od smlouvy. Pro tyto úkony zákon nestanovuje zvláštní zmocnění k ujednání smluvního zákazu. Opačná situace panuje u postoupení pohledávky. Práce posuzuje zvláštnosti uvedených úkonů z hlediska možnosti uplatnění stejných či podobných následků.

Abstract:

The diploma thesis deals with dispositional acts, i.e. legal acts that change, transfer, cancel or encumber a right. The aim is to clarify the consequences of dispositional acts if they are exercised in spite of a contractual (or statutory) prohibition. The thesis begins with a discussion of setoff, termination and withdrawal. For these acts, the law does not provide for a specific authorisation to arrange a contractual prohibition. The situation is the opposite for the assignment of a claim. The work assesses the peculiarities of these acts in terms of the possibility of applying the same or similar consequences.
