Corporate Enterprises in Continental and Anglo-American Legal Culture

Abstract:

Bakalářská práce se zabývá charakteristikou akciových společností, typických podnikatelských subjektů v kontinentální (evropské) právní kultuře, a korporací, vzniklých podle angloamerického systému práva. Práce analyzuje typické rysy a srovnává jednotlivé právní úpravy akciových společností a korporací. Teoretická část nejprve podrobně popisuje a charakterizuje světové právní systémy s přihlédnutím ke kontinentálnímu a angloamerickému. V praktické části se práce zabývá analýzou formálního uspořádání akciových společností a jako příklad pro kontinentální právní kulturu rozebírá podrobněji akciové společnosti v Německu, Rakousku a v České republice. V části věnované angloamerickému právnímu systému je pojednáno stručně o americkém právu jako součásti angloamerického právního systému, o historických kořenech práva v USA a o podstatě a rozdílu mezi americkým právem federálním a právem státním (jednotlivých států Unie). V poslední části jsou porovnány kapitálové společnosti v ČR a v USA. Hlavní odbornou metodou zpracování práce je komparativní analýza, autorka se však z důvodů přehlednosti nevyhnula několika deskriptivním pasážím.

Abstract:

The bachelor thesis focuses to the characteristics of joint stock companies, which are one of typical businesses institutions in continental (European) legal culture, and corporations created on the basis of the Anglo-American system of law. The thesis analyses the typical features and compares the different legislation frames of the joint stock companies and of corporations. The theoretical part describes the legal systems of the world with regard to the Continental European law and Common law (Anglo-American). In the practical part of the thesis deals with the analysis of the formal arrangement of joint-stock companies and as an example for the continental legal culture analyses in detail the joint stock companies in Germany, Austria and the Czech Republic. The other part of the common law legal system is discussed briefly by U.S. law as part of this legal system. Further are described the historical roots of law in the USA and merits a difference between U.S. federal law and state law (the various States of the Union). The last section of the bachelor thesis compares capital companies in the Czech Republic and the USA. As the main research method work was the comparative analysis chosen, the author, however, some description excerpts were used due to the contextual clarity.
