Advantages and Disadvantages of the Share Certificates

Abstract:

Předmětem této práce je posouzení výhod a nevýhod listinných akcií. Ačkoli jsou listinné akcie jsou historicky nejstarší podobou akcií, stále hrají důležitou roli ne-jen v českém akciovém právu. Cílem je předložit komplexně pojaté a (částečně) vyřešené téma, které se dotýká teorie cenných papírů a praxe obchodních korpo-rací. Text je vystavěn od teoretického vymezení pojmů cenného papíru, akcie a s nimi souvisejících pojmů, postupuje přes emisi, vydání a dispozici s listinnými akciemi a končí výměnou a umořením akcie. Celou prací prostupuje praktický ná-hled na řešenou problematiku.

Abstract:

The subject matter of this thesis is to assess the advantages and disadvantages of share certificates. Although share certificates are historically the oldest form of shares, they still play an important role not only in Czech law of the joint-stock companies. The ambition is to present a comprehensively conceived and (par-tially) solved topic that touches on the theory of securities and the practice of business corporations. The text is based on the theoretical definition of the con-cepts of security, stock and related terms, proceeds through issuance, issue and available with physical shares and ends with the exchange and redemption of shares. Throughout the work, there is a practical view of the problem.
