Anotácia:

Tato diplomová práce se věnuje tématu právní povahy a druhy akcií. Jejím cílem je rozbor a popsání tuzemské právní úpravy akcií v zákoně o obchodních korporacích s odkazy na předchozí úpravu obsaženou v obchodním zákoníku a zákoně o cenných papírech. Dílčím cílem je komparace dané problematiky s právními řády Velké Británie a Německa a hledání jejich společných rysů. Práce se rovněž dotýká některých legislativních změn, zejména v oblasti druhů akcií, jež přinesla novela zákona o obchodních korporacích s účinností od 1. ledna 2021 zveřejněná ve Sbírce zákonů pod č. 33/2020.

Abstract:

This thesis deals with the topic of legal nature and types of shares. Its goal is to analyze and describe the domestic legal regulation of shares in the Business Corporations Act with references to the previous regulation contained in the Commercial Code and the Securities Act. A partial goal is the comparison of the given issue with the legal systems of Great Britain and Germany and the search for their common features. The work also touches on some legislative changes, especially in the area of types of shares, brought about by the amendment to the Business Corporations Act effective from January 1, 2021 and published in the collection of laws under No. 33/2020.
