Abstract:

Bakalářská práce se zabývá porovnáním právní úpravy institutu smluvní pokuty podle občanského zákoníku a obchodního zákoníku a poté i v porovnání s rekodifikovaným občanským zákoníkem. V rámci obecného úvodu vymezuji základní pojmy, teorii a historii pojmu smluvní pokuta. Smluvní pokuta je v praxi hojně užívaným institutem a slouží hlavně k zajištění povinností mezi smluvními stranami, které vznikly na základě jejich vztahů upravených v občanském a obchodním zákoníku. Tuto pokutu si zúčastněné strany sjednávají samy a ujednávají ji k těm povinnostem, které považují za nutné zajistit smluvní pokutou, přičemž jedním z důvodů může být zhoršená platební morálka, kdy splatnost dluhu nehraje v časové ose velkou roli. V občanském a obchodním zákoníku je smluvní pokuta popsána hodně stručně, ale v praxi je k tomuto tématu spoustu otázek. V práci jsou popsány také jednotlivé skutečnosti mající vliv na vznik povinnosti platit smluvní pokutu a na vznik škody. V práci jsem se dále zabývala institutem zavinění dlužníka a otázkou existence vyšší moci. Dále je zde popsáno vymáhání smluvní pokuty soudem, neboť v praxi soud často využívá možnosti snížit nepřiměřenou výši smluvní pokuty. V praktické části práce je popsána smluvní pokuta v použití realitní kanceláře v Jihlavě, okres Vysočina – 1. Nonstop Reality.

Abstract:

Bachelor work presents a comparison between the definition of contractual penalty in Civil Code and in Commercial Code and then with a new Civil Code. In general introduction I define the basic terms, theory and history of the institute of contractual penalty. The institut of contractual penalty is in practice widely used and mainly serves to ensure obligations between the contractual parties arising from its relations governed by the Civil and Commercial Code. This contractual penalty is arranged by the parties themselves and agree it to those obligations, which they deem necessary to ensure contractual penalty, one of many reasons may be worsened payment morality in the timeline plays not a big role. In the Civil and Commercial Code is the institute of contractual penalty described very briefly, but in practice it is object of a lot of questions. In this work are also describe the various factors a their impact on the creation of a contractual obligation to pay the penalty, also on the damane. In this work dealt I with institute of fault of the debtor and questions about existence of force majeure. There is also described enforcement of contractual penalty by court, because in practice the court often uses reduction the disproportionate amount of contractual penalty. The practical part describes the contractual penalty in the use of a real estate agency in Jihlava, district Vysočina – 1. Nonstop Reality.
