Abstract:

Tématem diplomové práce jsou pojmové znaky právnických osob dle NOZ (zák. č. 89/2012 Sb.) a dle ZOK (zák. č. 90/2012 Sb.) Práce je zaměřena na význam pojmových znaků právnických osob, s uvedením jejich využití u jednotlivých typů společností se zaměřením na jejich důležitost a vypovídající schopnost. Diplomová práce popisuje jednotlivé typy právnických osob, kdy její součástí je popis jejich existence od založení po ukončení činnosti. Diplomová práce má dva cíle. Prvním cílem diplomové práce je vytvoření kompletního popisu jednotlivých právnických osob, které lze v ČR založit dle výše uvedených zákonů. Druhý cíl diplomové práce má potvrdit, či vyvrátit hypotézu zda současná právní úprava pojmových znaků, jak je uvedena v NOZ, či v ZOK, je dostatečně upravena, tak aby odpovídala jejich významu. Při práci na diplomové práci byly použity metody analýzy, syntézy a indukce, jejíž součástí je induktivní závěr potvrzující, či vyvracející uvedenou hypotézu.

Abstract:

The topic of the diploma thesis are the conceptual signs under New Civil Code Act No. 89/2012 Coll. and under Business Corporations Act No. 90/2012 Coll. The thesis is focused on the significance of conceptual signs of legal persons, indicating their use in individual types of companies, focusing on their importance and proficiency. The diploma thesis describes individual types of legal entities, where the part describes the existence from the establishment to the end of the activity. The diploma thesis has two objectives. The first is to create a complete description of individual legal entities that can be established in the Czech Republic according to the aforementioned laws. The second aim is to confirm whether to rebut the hypothesis whether the current legal regulation of conceptual features, as stated in the NOZ, or in the ZOK is sufficiently modified, to match their meaning. The methods of analysis, synthesis and induction were used in the thesis, which included an inductive conclusion confirming or contradicting the hypothesis.
