Contract Interpretation and Subsequent Conduct of Parties

Abstract:

Tato diplomová práce se zabývá analýzou interpretace vyjádřeného právního jednání v rámci smluvního vztahu s detailním zaměřením na výklad na základě interpretačního hlediska následného chování smluvních stran. Hlavní pozornost je věnována interpretačnímu hledisku empirického výkladu v podobě následného chování stran, které je analyzováno v rámci účinné právní úpravy, modelových předpisů a CISG. Cílem této práce je zanalyzovat následné chování stran a určit jeho limity za účelem stanovení jeho relevantnosti pro účely interpretace vyjádřené vůle smluvních stran. Poznatky práce jsou shrnuty v jejím závěru.

Abstract:

This diploma thesis deals with the analysis of the interpretation of the expressed legal action within the contract with a detailed focus on the interpretation based on the subsequent conduct of the parties. The main attention is paid to the interpretative aspect of the empirical interpretation in the form of the subsequent conduct of the parties, which is analysed in the framework of effective legislation, model regulations, and the CISG. The aim of this thesis is to analyse the subsequent conduct of the parties and establish its limits in order to determine its relevance for the interpretation of the expressed will of the parties. The findings of the thesis are summarized in the conclusion.
