Forms of the debtor's bankruptcy

Abstract:

Úvod práce je věnován historii úpadkového práva, jehož kořeny sahají v minulosti do období římského práva. Následně pochází značná úprava z období kolem roku 1914 a v našem právu s ohledem na novodobé dějiny bylo úpadkové právo upraveno právními předpisy v letech 1991 a vydáním nového zákona v roce 2006, který zohledňoval potřeby tržní ekonomiky na území České republiky. Rozdíl je i v pohledu na úpadek a jeho řešení obsažený v zákonu o konkurzu a vyrovnání z období roku 1991, který vycházel především ze zahraničních úprav, a rozdíl v pojetí úpadku v insolvenčním zákoně z roku 2006, který již více zapracoval problematiku úpadku dlužníka s ohledem na ekonomickou a právní situaci na našem území. Zavádí rozdělení úpadku na dvě základní skupiny, a to úpadek formou platební neschopnosti a úpadek formou předlužení, podskupinu hrozící úpadek. To, zda je dlužník v úpadku ve formě platební neschopnosti nebo ve formě předlužení, je v právním posouzení druhotné hledisko, neboť prvotně je nutné určit, zda se dlužník v úpadku nachází. K tomu nám slouží ekonomické hledisko, zejména ukazatelé likvidity podniku, následně i nutnost sledování aktiv a pasiv a použití cash-flow. Forma platební neschopnosti je u dlužníka rozpoznatelná i ze strany věřitelů a umožňuje tak podání insolvenčního návrhu a řešení finančních problémů dříve, než se dlužník ocitne v předlužení. Návrh může být podán jak právnickou osobou, tak fyzickou osobou podnikatelem i nepodnikatelem. Tato forma je hojně využívána v souvislosti se spotřebiteli. Insolvenční návrh pro úpadek ve formě předlužení může podat jen fyzická osoba podnikatel nebo právnická osoba. Řešit finanční problémy dřív, než přerostou do úpadku, umožňuje insolvenční návrh pro hrozící úpadek. Úpadek není pojmem čistě ekonomickým, ani pojmem čistě právním. V těchto oblastech je jistá provázanost, neboť na základě ekonomických a účetních výkazů je možné zjistit ekonomický stav firmy a z výsledků vyplývá nebo nevyplývá povinnost či možnost insolvenčního návrhu se všemi důsledky. Bohužel zde je možná jistá zneužitelnost, neboť s úmyslem poškodit dobré jméno firmy může být podán tzv. šikanózní insolvenční návrh, jehož cílem však není řešení finanční situace dlužníka, ale osobní zájem navrhovatele a mnohdy jde o donucovací prostředek k úhradě sporné pohledávky. S podáním insolvenčního návrhu jsou spojené důsledky (nemožnost pohledávku žalovat, výkon rozhodnutí nemůže být vykonán) a dojde ke zveřejnění v insolvenčním rejstříku. Insolvenční návrh musí být podán věcně a místně příslušnému soudu, musí obsahovat zákonem stanovené náležitosti, a to jak obecné (viz OSŘ), tak obsažené v InsZ a vylíčení skutečností odůvodňujících podání insolvenčního návrhu. Insolvenční návrh pak musí obsahovat i seznamy a listinné důkazy. V případě chybného návrhu soud návrh odmítne, v případě vady v přílohách vyzve navrhovatele k doplnění a poskytne mu k tomu lhůtu. Po provedeném dokazování rozhodne, zda se subjekt nachází v úpadku a rozhodne, jakou formou bude úpadek dlužníka řešen. Soud rozhodne usnesením a určí insolvenčního správce. Věřitelům stanoví lhůtu, do kdy mohou své pohledávky do insolvenčního řízení hlásit. Povinnost podat insolvenční návrh vyplývá u společnosti pro statutární orgán (jednatelé a členové představenstva) a v případě, že je firma v likvidaci i pro likvidátora.

Abstract:

Introduction of essay is dedicated to the history of bankruptcy law, whose roots lie in the past, in the period of Roman law. Then comes a significant adjustment from the period around 1914. In our law was bankruptcy law regulated by legislation in 1991 and the release of the new act in 2006, which reflected the needs of the market economy in the territory of the Czech Republic. The difference is even looking at the decline and its solution contained in the act on bankruptcy and settlement from the period of 1991, which came mainly from foreign adaptations, and the difference in the concept of insolvency in the insolvency act of 2006, which has already worked more of the debtor's bankruptcy issues with regard to the economic and legal situation in our territory. Introduces the split of decline into two basic groups, the decline in the form of insolvency and bankruptcy in the form of insolvency, a subset of impending decline. Whether it is a debtor in bankruptcy, in the form of insolvency or in the form of over-indebtedness, it is in the legal assessment of the secondary aspect, because initially it is necessary to determine whether the debtor in bankruptcy is located. To do this we use the economic aspect, in particular, the indicators of the company's liquidity, then necessity to track assets and liabilities and the use of cash-flow. A form of insolvency debtor is recognizable even by creditors and allows the filing of insolvency and the solution of the financial problems before the debtor finds himself in insolvency. The proposal may be filed by a legal person, natural person entrepreneur and also un-entrepreneur. This form is frequently used in connection with the consumer. Insolvency proposal for the decline in the form of overindebtedness may submit only a natural person entrepreneur or legal person. To solve financial problems before they develop into to bankruptcy, allowing the insolvency looming bankruptcy proposal. The decline is not a purely economic concept, nor the concept of purely legal. In these areas, there is a certain coherence, because on the basis of economic and financial statements it is possible to determine the economic status of the company and of the results or does not follow the obligation or the possibility of insolvency, with all the consequences. Unfortunately, there is perhaps some exploitable, because with the intent to damage the good name of the company may be filed ". persecuting insolvency proposal, whose aim, however, is not the solution to the financial situation of the debtor, but the personal interest of the petitioner, and often goes for enforcement resource to pay for disputed claims. With the filing of insolvency are related consequences (the inability to claim to sue, the execution of the decision cannot be enforced), and the publication in the insolvency register. The insolvency petition must be filed factually and locally to competent court, must include the statutory requirements, that is general as contained in the bankruptcy law and the facts justifying the submission of insolvency. Insolvency proposal must then also contain lists and documentary evidence. In the case of a bad proposal, the court rejects the proposal, in the case of defects in the annexes shall invite the petitioner to supplement and provide it to the limit. After the taking of evidence shall decide whether the subject is in decline and decides what form the debtor's bankruptcy will be solved. The court decides and determines the resolution of the insolvency administrator. The creditors shall set a deadline by which they can their claims in the insolvency proceedings report. Obligation to submit a proposal for the company is insolvent for statutory authority (managers and board members) and in the event that the company is in liquidation also for the liquidator.
