Abstract:

Předmětem bakalářské práce Vztah mezi obchodní společností a jejím statutárním orgánem je za využití platných právních předpisů a judikatury soudů komplexní zpracování problematiky statutárních orgánů z pohledu jejich vymezení, způsobů výkonu funkce, požadavků na členy těchto orgánů, působnosti a odpovědnosti. Dále je v práci nabídnut vzor smlouvy o výkonu funkce, upravující vztah obchodní společnosti s jejím statutárním orgánem.

Abstract:

The objective of the bachelor thesis Relationship Between a Business Company and Its Representative Body is to define the representative body of a business company, describe how it performs, present its competencies, state all the requirements of the membership in such bodies and tell what are the member´s responsibilities in terms of existing legislation and jurisprudence of courts. Then the thesis offers a model of the Agreement on the Performance which governs the relationship between a business company and its representative body.
