General Commercial Terms and Commerial Terms for Buildings and Building Documentation

Abstract:

Cílem při zpracování bakalářské práce na téma "Všeobecné obchodní podmínky a obchodní podmínky pro stavby a dokumentaci staveb bylo provést rozbor tohot institutu v obchodním právu. V úvodu práce je řešen soulad Všeobecných obchodních podmínek vydaných Českou společností pro stavební právo se zákonem. Je vymezen vztah obsahu těchto všeobecných podmínek k obchodním zvyklostem, podrobněji je popsána povaha a charakter obchodních a všeobecných obchodních podmínek. Vývoj právní úpravy tohoto úseku a srovnání jednotlivých etap je obsahem samostatné kapitoly. Na tu logicky navazuje přehled současné právní úpravy. Je řešena problematika používání příslušných právních předpisů a jejich pořadí při sestavování smluv. Ve stručnosti jsou charakterizovány základní znaky smlouvy o dílo, ke které se Všeobecné obchodní podmínky pro stavby a dokumentaci staveb vztahují. Jsou zmíněny významné novely obchodního zákoníku a také otázka ochrany objednatelů. V rozboru jednotlivých ustanovení zadaných podmínek je řešeno zejména úvodní ustanovení, ustanovení definující pojmový aparát, druhy dokumentace, ustanovení o přípravě a provádění staveb a odpovědnosti za vady. Práci doplňuje seznámení s mezinárodními dokumenty FIDIC a je řešena otázka jejich použití v našich podmínkách. Jako příklad vhodného využívání mezinárodních obchodních podmínek jsou zmíněny obchodní podmínky používané pro výstavbu pozemních komunikací. Závěrečná kapitola přináší souhrn poznatků vzešlých z rozboru dané problematiky a také náměty a případné budoucí řešení uvedených problémů.

Abstract:

The theme of this thesis is General Commercial Terms and Commercial Terms for Buildings and Building Docummentation. General commercial terms for building represent basic methodology and unification of concepts in building, which helps, within the limits of relevant laws and generally binding principles, with efficient entering into contractual relations in this field. The aim of this bachelor thesis was not the endering of a detailed analysis of the whole problem connected to General Commercial Terms and Commercial Terms for Buildings but I want to admit that the setting of this thesis enabled me to get partly over its range and allowed me to give at least a brief description of some institutes and vice versa. Thanks to this possibility I was able to conceive this thesis with the breath of complexity, which should enable the reader to be better oriented in this subject of contract for work. While writting this thesis I was using professional literature, scientific articles, official opinions of judicature obtained from different sources, opinions of builders and pieces of knowledge taken during tuitions with the director of this thesis. In the introduction to this bachelor thesis discusses the correspondence of General Commercial Terms published by Česká společnost pro obchodní právo with the law. It defines the relationship of the contents of these commercial terms to commercial usage. The nature and character of commercial and general commercial terms is described in detail. The development of legal regulation of this section and comparison of individual stages are the contents of an individual chapter. This is logically followed by an overview of the current legislation. The notion of the use of appropriate legal regulations and their order in the composition of contracts. Basic characteristics of a contract for work done are characterized briefly here. General commercial terms for building and building documentation are connected with this type of contract. The text mentions important amendments to the Commercial Code as well as the topic of client protection. The analysis of individual provisions of the given conditions discusses primarily the introductory provision which defines the terms, types of documentation, provisions of preparation and construction of buildings and responsibility for faults. The thesis is complemented by introduction to international documents FIDIC and the topic of application of such documents in local environment is being discussed. Commercial terms for road construction are used as an example of the appropriate use of international commercial terms. The final chapter contains a summary of information resulting from an analysis of the discussed topic, as well as suggestions and future solutions to stated problems.
