Bodies of a joint-stock company and their duty of fair and reasonable diligence

Abstract:

Diplomová práce se zabývá orgány akciové společnosti v souvislosti s povinností jednat s péčí řádného hospodáře. Cílem této práce je přiblížit historický vývoj institutu péče řádného hospodáře, vytvořit systematický přehled orgánů akciové společnosti a porovnat danou problematiku se slovenským pojetím. V první části práce je zmapován vývoj povinnosti jednat s péčí řádného hospodáře. Druhá a třetí část se věnují jednotlivým orgánům akciové společnosti, a to jak v dualistickém, tak monistickém systému vnitřní struktury, komparaci orgánů v jednotlivých systémech, rovněž dalším orgánům, které mohou v rámci akciové společnosti vznikat, a jejich povinnosti jednat s péčí řádného hospodáře. Čtvrtá část je zaměřena na odpovědnost vznikající z porušení péče řádného hospodáře, a sice na odpovědnost soukromoprávní a veřejnoprávní, resp. trestněprávní. Poslední, pátá, část porovnává danou problematiku se slovenským pojetím.

Abstract:

The diploma thesis deals with the bodies of a joint-stock company and their duty of fair and reasonable diligence. The aim of this work is to give the reader insight into the development of the term fair and reasonable diligence, create a comprehensive synopsis of the bodies of a joint-stock company and to compare this issue with a Slovak interpretation. The first chapter describes the development of the term fair and reasonable diligens. The second and third chapters deal with the bodies of a joint-stock company, either in the dualistic and monistic system of the internal structure, compares the bodies in each system, and also deals with other bodies, that can be estabilished in a joint-stock company, and their duty of fair and reasonable diligence.The fourth chapter is about the responsibility for the breach of the duty of fair and reasonable diligence and the last - fifth - chapter compares the Czech interpretation with a Slovak one.
