Tax and Accounting Implications of the Transformation of a Self-employed Person into a Legal Entity

Abstract:

The diploma thesis "Tax and accounting implications of the transformation of a Self-employed person into a legal entity" deals with the issue of transformation of a self-employed person into selected types of legal forms, which are public partnership, limited partnership and limited liability company, where it compares several variants. The first theoretical part of the thesis defines the theoretical knowledge including the current legal regulation of these forms of business and also the possibilities of transformation of assets. In the theoretical part the transformation of the selected company into a legal entity is carried out, where accounting, tax and administrative aspects of the transformation are defined. At the end of the thesis the results are evaluated, and recommendations are made based on these results.

Abstract:

Diplomová práce „daňové a účetní dopady přeměny fyzické osoby na právnickou osobu“ řeší problematiku transformace osoby samostatně výdělečné činné na vybrané druhy právních forem, kterými jsou veřejná obchodní společnost, komanditní společnost a taky společnost s ručením omezením, kde porovnává několik variant. V první teoretické časti práce jsou vymezeni teoretické poznatky včetně aktuální právní úpravy vybraných forem podnikaní a taky možnosti transformace majetku. V teoretické části je uskutečněná transformace vybraného podnikatele na osobu právnickou, kde jsou vymezeny účetní, daňové a taky administrativní aspekty transformace. Ke konci práce jsou výsledky zhodnoceny a na jich základě je formulováno doporučení.
