Abstract:

Disertační práce se zabývá analýzou postavení valné hromady společností s ručením omezeným v právním řádu České republiky a srovnává jej s právními úpravami valných hromad v německy mluvících zemích. Cílem práce je prozkoumat různé aspekty působení valných hromad, včetně jejich působnosti, procesů rozhodování, práv a povinností účastníků, a posoudit vliv evropského práva na korporátní právní úpravy. Práce využívá metody komparativní právní analýzy a zaměřuje se na hodnocení aktuálních i historických legislativních změn, které ovlivňují korporátní právo. Práce představuje valnou hromadu jako klíčový orgán společnosti, který má zásadní význam pro fungování a strategické rozhodování společností s ručením omezeným. V rámci České republiky i německy mluvících zemí valná hromada zastává centrální roli v korporátní struktuře, což umožňuje společníkům podílet se na zásadních rozhodnutích týkajících se směřování společnosti. Autor se dále věnuje evropské harmonizaci korporátního práva a jejím dopadům na právní úpravy v jednotlivých zemích, což přináší nové perspektivy pro porozumění a interpretaci právních norem. V rámci této analýzy je kladen důraz na nedávné legislativní změny, které reflektují jak ekonomický, tak sociální vývoj, a na to, jak tyto změny ovlivňují roli valných hromad v moderním korporátním právu.

Abstract:

The dissertation analyses the status of the general meeting of limited liability companies in the legal system of the Czech Republic and compares it with the legal regulations of general meetings in German-speaking countries. The aim of the dissertation is to examine various aspects of the operation of general meetings, including their scope, decision-making processes, rights and obligations of participants, and to assess the influence of European law on corporate law. The dissertation uses the method of comparative legal analysis and focuses on the assessment of current and historical legislative changes affecting corporate law. The dissertation introduces the general meeting as a key corporate body that is crucial to the functioning and strategic decision-making of limited liability companies. Within the Czech Republic and German-speaking countries, the general meeting plays a central role in the corporate structure, allowing members to participate in major decisions concerning the direction of the company. The author also focuses on the European harmonization of corporate law and its impact on national legislation, which brings new perspectives for understanding and interpreting legal regulations. The analysis focuses on recent legislative changes that reflect both economic and social developments, and how these changes affect the role of general meetings in modern corporate law. The dissertation is a contribution to the legal literature, providing a comprehensive view of the issue of general meetings and their adaptation to changes in the legal and economic environment. Its conclusions and analysis provide useful insights for lawyers, academics, and corporate law practitioners, and can serve as a basis for further research in this dynamically evolving area of law.
