The Payment Terms of Construction Contract – Aplication, Evaluation and Elimination of the Commercial Risks from Point of View of the Contractor and the Owner

Abstract:

Vztah zhotovitele a objednatele při provádění stavebního díla řeší stavební smlouva. Proto se v BP soustředím na klíčové podmínky stavebního kontraktu, který pokud má být dobrý, musí být vyvážený. Při vyjednávání o textu stavební smlouvy se veškeré úsilí účastníků soustředí na jednání o: • Rozsahu prací daných projektem (scope of work). • Platebních podmínkách (payment terms). • Časového plánu stavby (schedule). Tyto hlavní obchodní podmínky jsou navzájem provázány tak, že jednu bez druhé nelze řešit bezezbytku. Teoretická část se zmiňuje o smyslu vzorových stavebních smluv, např. FIDIC, jejichž podstatou je vytvořit vzory vyvážených smluv s jasnou alokací rizika na smluvní strany. Dále zdůrazňuje platební podmínky stavebního projektu, jejichž výsledkem je pozitivní či negativní cash flow pro zhotovitele. Rovněž charakterizuje vhodné platební podmínky, zajišťovací instrumenty a částečnou eliminaci obecných i finančních rizik. Praktická část řeší podstatu chování zhotovitele při vyjednávání uvedených klíčových obchodních podmínek stavební smlouvy. Obsahuje analýzu vztahu platebních podmínek a cash flow stavebního projektu. Charakterizuje z praktického hlediska rizika klíčových obchodních podmínek a platebních instrumentů, mezi které patří různé bankovní garance a záruky. Nepomíjí ani rizika, která se vyskytují v průběhu celého stavebního projektu a poukazuje na zásady rizikového managementu (strategie 4T). V závěru práce zhodnotím stanovené cíle a dávám obecná, ale i praktická doporučení pro využití při vyjednávání hlavních obchodních podmínek stavební smlouvy o dílo.

Abstract:

The relationship between contractor and owner or developer, while undergoing a construction project, is outlined in a contract. That is why the focus of this bachelor thesis is on the key terms of a construction contract. If the contract is bound to be good, it has to be balanced. While negotiating the terms of a construction contract, most of the effort of the parties goes into negotiation about the following: • scope of work • payment terms • schedule These main business terms are interconnected, therefore it is not possible to have one without the other. In the theoretical part of the bachelor thesis I also mention the meaning of sample construction contracts, such as FIDIC. The substance of these is to create a sample contracts which would be balanced and have clearly allocated risks of the parties. Furthermore, this thesis emphasizes payment terms of a construction project resulting either in positive or negative cash flow for the contractor. It also characterizes suitable payment terms, bond instruments and partial elimination of general and financial risks. The practical part of this bachelor thesis mentions the substance of behaviour of the contractor during mediating the already mentioned key business terms of construction contract. It contains analysis of the relationship of payment terms and the cash flow of a construction project. Furthermore it describes, from practical point of view, the risks of key business terms and payment instruments which include difference bank guarantees. Risks, which occur during the whole construction project and principles of risk management (4T strategy), are included as well. At the conclusion I evaluate given goals and give general, but practical recommendations to be used during a mediation of main business terms of a construction contract.
