Squeeze-out of Minority Shareholders as a Problem of Constitutional Law

Abstract:

Diplomová práce pojednává o vytěsnění minoritního (malého) akcionáře z pohledu ústavního práva. Práva minoritního akcionáře jsou chráněna ustanovením § 183i až § 183n zákona č. 513/1993 Sb., Obchodního zákoníku, ve znění pozdějších předpisů, jsou zahrnuty pod obecným názvem právo výkupu účastnických cenných papírů (squeeze-out). Teoretická část se zabývá s obecnými pojmy obchodního práva a teorií. Následující kapitola se zabývá samotným konceptem vytěsnění minoritního akcionáře. Ve zbývajících kapitolách jsem se věnoval interpretaci squeeze-outu a ústavně konformnímu výkladu. Poslední kapitola je o ústavně garantovaných právech, zejména právo vlastnictví, které je chráněno Listou základních práv a svobod v článku 11 odst. 1 a 3. Ústavní soud uvedl, že se nejedná o vyvlastnění, protože tady není veřejný zájem.

Abstract:

This dissertation deals with the squeeze-out of Minority Shareholders as a Problem of Constitutional Law. The rights of minority shareholders are pretected by §183i to §183n of Act no. 513/1991 Coll., the Commercial Code which are included under the general heading “The Right to Buy Out Securities,” (the “buy-out right” or “Squeeze-Out”). The theory part explains the terms and theory of the business theory of the the company. The following part delas with the concept of a forced buy-out of shares (squeeze-out). The next chapter is about proceeding of squeeze-out. Remainig chapters is about interpretation if the squeeze-out is interpreted in this constitutionally consistent manner. The last fact is that rights of minority shareholders has constitutionally guaranteed such as, protection of property rights under Art. 11 par. 1 and 3 of the Charter of Fundamental Rights and Freedoms. The Constitution court stated that there is no expropriation because there is no public interest.
