Acquiring by due diligence

Abstract:

Předmětem diplomové práce „Akvizice prostřednictvím due diligence“ je zhodnocení ekonomických dopadů akvizice realizované pomocí due diligence. Práce je rozdělena do dvou částí. V teoretické části jsou představeny pojmy fúze, akvizice a due diligence. Objasňuje relevantní metody a nástroje, které jsou použity v předakvizičním procesu a definuje přínos due diligence při realizaci akvizice.Praktická část je zaměřena na konkrétní akvizici v praxi. Je provedeno vlastní šetření due diligence zaměřené na finanční dopady z pohledu kupujícího a zhodnocena ekonomická efektivnost procesů due diligence a procesu akvizice.Závěr se věnuje navrhnutí opatření pro zvýšení efektivnosti daných procesů.

Abstract:

The goal of the submitted thesis: “Acquiring by due diligence” is to analyze the economic impacts of acquiring the implementing by the due diligence. The thesis is divided into two parts. The first theoretic part is concentrated on describing the basic terms like merger, acquisition and due diligence. This part clarifies relevant methods and instruments, which are used in pre-acquisition process and states the contribution of the due diligence to process for the acquiring. The second part is focused on at the specific example from the real world. This part deals with the own due diligence judge with emphasis of the financial impacts from the buyer´s view and the analysis of the economic efficacy of process of due diligence and acquiring process. At the end is concentrated the suggesting of the tools for increasing efficacy of these processes.
