Legal Aspects of a Business Enterprise and Disposition of It

Abstract:

Tato práce se věnuje vybraným právním aspektům pojmu obchodní závod a možným dispozicím s ním dle českého právního řádu. Zabývá se právní klasifikací obchodního závodu, jeho funkcí, vnitřním členěním a tím, co může a nemůže být jeho součástí.Práce se zaměřuje na některé věci a práva, pro jejichž převod zákon stanoví zvláštní režim, a klade tato specifika do souvislosti s dispozicí s obchodním závodem. Zaměřuje se především na převod nemovitých věcí, cenných papírů a práv duševního vlastnictví v rámci převodu závodu.Autorka se dále věnuje jednotlivým druhům právních jednání, jimiž lze s obchodním závodem disponovat, např. koupi závodu, pachtu závodu, zřízení zástavního práva k závodu a dalším.Cílem této práce je zjistit, co tvoří obchodní závod a jakým způsobem s ním lze disponovat, a vypořádat se s interpretačními problémy v této oblasti, které rekodifikace soukromého práva přinesla.

Abstract:

This thesis deals with selected legal aspects of a term business enterprise and possible disposition of it according to the Czech law. It examines legal classification of a business enterprise, its functions, internal division and what is considered as a part of business enterprise.The thesis focuses on some of the rights that are subject to a special legal regime and puts these specifics in contrast with the disposition of a business enterprise. It concentrates mainly on immoveable assets, securities and intellectual property rights within the disposition of a business enterprise.The author also deals with different types of disposition of business enterprise, e.g. purchase of business enterprise, tenancy of business enterprise, lien and others.The aim of this thesis is to find out what the business enterprise consists of and what are the possible dispositions of it. It also copes with the interpretational problems of this area brought by the amendment of the Czech private law.
