Comparison of legal arrangements for the establishment of s.r.o. in the Czech Republic and the Russian Federation

Abstract:

Ekonomický rozvoj země je závislý na tom, jak efektivně podnikatelská sféra funguje. Právní úprava podnikání je v každém státu jiná. Může usnadňovat nebo naopak komplikovat proces založení podniku. Cílem této práce je vytvoření přehledu základních schod a odlišností prvků právní úpravy ve vztahu k založení společnosti s ručením omezeným v České republice (s.r.o.) a Ruské federaci (OOO). První část práce je věnována rešerši české a ruské literatury a legislativy která vymezuje pojmy podnik, podnikání, jednotlivé formy podnikání. V druhé části práce je vytvořen postup založení s.r.o. a OOO v jednotlivých krocích. V třetí části práce je použita metoda komparativní analýzy. Na základě hodnocení 12 kritérií lze tvrdit, že proces založení s.r.o. v ČR je relativně jednodušší než v Rusku. Fyzické osobě individuálnímu podnikateli v Rusku je na rozdíl od ČR umožněno zaměstnávat pracovníky, proto je tato forma podnikání, jejíž proces založení je jednodušší než u OOO, značně populární v Rusku. Výhodou ČR je značný pokrok v elektronizaci procesů založení s.r.o., což zrychluje a zlevňuje řešení řády právních otázek.

Abstract:

The economic development of the country is dependent on how effectively the business sector functions. The legal regulation of business is different in every state. It can facilitate or, on the contrary, complicate the process of establishing a business. The aim of this thesis is to create an overview of the basic steps and differences in the elements of legal regulation in relation to the establishment of a limited liability company in the Czech Republic (s.r.o.) and in the Russian Federation (OOO). The first part of the thesis is dedicated to the research of Czech and Russian literature and legislation that defines the terms enterprise, business, individual forms of business. In the second part of the thesis, the procedure for establishing a s.r.o. and OOO in individual steps is created. In the third part of the work, the method of comparative analysis is used. Based on the assessment of 12 criteria, it can be argued that the process of founding the s.r.o. in the Czech Republic it is relatively easier than in Russia. In contrast to the Czech Republic, a physical person – an individual entrepreneur in Russia is allowed to employ workers, therefore this form of business, the establishment process of which is simpler than that of an LLC, is quite popular in Russia. The advantage of the Czech Republic is considerable progress in the electronicization of the processes of establishment of s.r.o., which speeds up and lowers the resolution of legal issues.
