Types of Shares in Limited Liability Companies

Abstract:

Tato diplomová práce se zaměřuje na limity smluvní svobody při vymezování druhů podílů ve společnostech s ručením omezeným. Hlavním cílem je stanovit, která práva a povinnosti je možné do podílu včlenit či je z něj odebrat. Práce postupuje nejdříve od obecných korektivů ke konkrétním možným modifikacím. V práci je patřičně zohledněna novela ZOK (zákon č. 33/2020 Sb.), stejně jako úvaha, zda či nakolik lze analogicky aplikovat úpravu druhů akcií v akciové společnosti, a to jak co do samotného vymezení zvláštních práv, tak co do způsobu odstraňování pochybností o jejich obsahu.

Abstract:

This diploma thesis focuses on the limits of contractual freedom in defining the types of shares in limited liability companies. The main goal is to determine which rights and obligations can be included in or removed from the share. The work proceeds first from general correctives to specific possible modifications. The work takes due account of the amendment to the ZOK (Act No. 33/2020 Coll.), as well as the consideration of whether or to what extent the adjustment of types of shares in a joint stock company can be applied by analogy, both in terms of the definition of special rights and the method of elimination doubts about their content.
