The role of financial due diligence in M&A transactions

Abstract:

Cílem diplomové práce bylo zjistit podstatu finančního due diligence v rámci fúzí a akvizic. Prostřednictvím teoretické části je vysvětlena nejen oblast M&A, ale i podstata due diligence během těchto vlastnických transakcí. V rámci praktické části jsou následně tyto poznatky uplatněny a využity při zhotovení finančního due diligence na reálném podniku. V rámci práce je tak provedena rešerše odborných publikací na tyto témata, jejich syntéza a v rámci praktické části je provedena analýza na konkrétní případové studii, v rámci které jsou prezentovány výsledky odrážející reálnou aplikaci tohoto typu předinvestiční prověrky.

Abstract:

The diploma thesis aimed to uncover the fundamental aspects of financial due diligence in the context of mergers and acquisitions. It delved into both theoretical and practical dimensions. The theoretical segment elucidated not only the landscape of M&A but also the significance of due diligence in such transactions. In the practical phase, these insights were put into action through conducting financial due diligence on an actual company. Extensive research was undertaken, synthesizing professional literature on the subject. Furthermore, a specific case study was analyzed in the practical section, showcasing the tangible application of this pre-investment analysis process.
