Usage of Commercial Terms, Trade Costums and Explanatory Rules

Abstract:

Tato diplomová práce pojednává o problematice užívání obchodních podmínek, obchodních zvyklostí a vykládacích pravidel, přičemž nejprve pojednává o podstatě a historii obchodního práva a uzavírání obchodních smluv, určování jejich obsahu přímými i nepřímými smluvními ujednáními, včetně jejich jednotlivých druhů a vzájemného odlišení. Je rovněž zmíněna problematika určení hierarchie pramenů. Vzhledem k mezinárodním přesahům tohoto právního odvětví řeší také užívání mezinárodně uznávaných a používaných vykládacích pravidel.Přibližuje komparaci stávající české, resp. evropské právní úpravy s úpravou poněkud exotickou, nicméně vzhledem k současné ekonomické situaci prakticky více než zajímavou, úpravou práva Čínské lidové republiky. V průběhu celé práce se objevuje průřezová otázka ochrany odběratele před nesprávným postupem dodavatele a využívá četnou judikaturu v oblasti závazkových obchodních vztahů. Práce je členěna do osmi kapitol, zahrnujících úvod a závěr včetně cizojazyčného resumé, ke zpracování byly požity zejména metody komparace a analýzy. Cílem mé diplomové práce je pokusit se proniknout do problematiky užívání obchodních podmínek, obchodních zvyklostí a vykládacích pravidel v rámci závazkových vztahů, které podléhají režimu obchodního zákoníku, když se zároveň pokusím o jejich odlišení a poskytnutí praktického vhledu do této problematiky a jeho porovnání s teoretickými aspekty.

Abstract:

Concluding of contract and appropriate settling its content is an Art itself. In spite of this its being underrted due to economical reasons. Concerning this its essentinal to keep an eye and attention on proper use of indirect clauses. In relation with the amount of contracts concluded by enterpreneurs musst be admittedTo be able to determine the right content of the contract we essentinaly need to determine the right hierarchy of legal sources, which brings a lot of troubles to practice. Generally we can say that the problems of this issue is quite complicated and new Civil Code tries to deal with that even though I presonally think theat not in the ideal way. There was not solved the linguistic and stylistic dispute in the frame of use of commercial trades and also the dispute of interpretation and hierarchy of legal sources, and it also provides huge space for judical consideration.This tehses is devided into eight chapters includnig introduction and conclusion. First two chapters are dedicated to descirption of basic knowledge necessary to underastand the main points of the thesis. Following chapters then deal with particular indirect clauses, mainly with explnatory rules, commercial trades and commerrcial trades. The aim of the thesis was to point out their signifikance and the complexicity of their usage. The theses servers also the view on these clauses from the point of current legislation, moreover, from the comming new one either.Throughout the whole text is the position and protection of customer of subscriber solved. Two methods were used while processing this theses-analysis and comparison. The first method gave us the knowledge and understanding of certian terms and issues, while the second one was used to evalute expert´s opinions presented hereinabove. the advantinge of use of completly processed commercial trades of explanatroy rules.
