General Meeting Resolution Authorising Acquisition of Own Shares

Abstract:

Tato diplomová práce se zaměřuje na oblast práva akciových společností, kde se věnuje tématu nabývání vlastních akcií. Specializuje se zejména na autori-zační rozhodnutí valného hromady o nabytí vlastních akcií podle § 301 odst. 1 písm. a) zákona o obchodních korporacích, náležitosti tohoto usnesení a práv-ní otázky, které s tímto tématem úzce souvisí. Práce nahlíží na problematiku možnosti dodatečného autorizačního usnesení ve světle aktuální relevantní judikatury. Cílem práce je analyzovat a rozebrat význam tohoto rozhodnutí, jakož i velmi důležité možnosti aposteriorního držení nabytých vlastních ak-cií.

Abstract:

This diploma thesis with focus on joint-stock company law, deals with the topic of acquisition of company’s own shares. In particular, the thesis special-izes in general meeting’s authorizing resolution of acquisition of own shares in accordance with § 301 article 1 letter a) of the Business Corporations Act, its requirements, and related legal questions. The thesis views this legal problem-atic in the light of recent, and pivotal for this legal topic pivotal, jurisprudence. The goal of the document is to analyse the purpose of the authorizing resolu-tion, its requirements, as well as significantly important possibility of holding previously acquired own shares.
