Accounting and tax context of cross-border mobility of capital corporations in the EU

Abstract:

Tato diplomová práce se zabývá přeshraniční mobilitou kapitálových korporací v EU a jejími účetními a daňovými souvislostmi. Pod pojmem přeshraniční mobilita kapitálových korporací si lze představit přeshraniční přeměny obchodních společností. Práce je rozdělena na dvě části. První část je teoretická a je věnována vymezení přeshraničních přeměn, právnímu rámci regulující oblast přeshraničních přeměn a účetním a daňovým souvislostem, které z přeshraničních přeměn vyplývají. Druhá část je praktická a věnuje se analýze přeshraničního přemístění sídla obchodních společností do a z České republiky v letech 2008 až 2020. Dále se zabývá analýzou přeshraničních fúzí, taktéž v letech 2008 až 2020. V závěru práce jsou shrnuty zjištěné údaje o přeshraničních přeměnách a je provedeno jejich zhodnocení.

Abstract:

This diploma thesis deals with the cross-border mobility of capital corporations in the EU and its accounting and tax context. The concept of cross-border mobility of capital corporations can be imagined as cross-border transformations of companies. The diploma thesis is divided into two parts. The first part is theoretical and is devoted to the definition of cross-border transformations, the legal framework regulates the area of cross-border transformations and the accounting and tax context that result from cross-border transformations. The second part is practical and deals with the analysis of cross-border seat transfers of companies to and from the Czech Republic in the years 2008 to 2020. It also deals with the analysis of cross-border mergers, also in 2008 to 2020. At the end of the thesis are summarized the data on cross-border transformations and their evaluation is performed.
