Tax Harmonisation in the European Union

Abstract:

Historicky právo vybírat daně patřilo mezi jedny ze základních práv suverénního státu. Daňové systémy prošly dlouhým obdobím vývoje. Společně s rozvojem světové ekonomiky a rozvojem světového obchodu došlo i určitému posunu ve věci harmonizace jednotlivých daní či daňových systémů. Nejvíce harmonizovaným daňovým systémem více států je Evropská unie. Daňová politika Evropské unie je však jednou z nejvíce citlivých oblastí dalšího vývoje v Evropské unii. V současné době je harmonizace daní v rámci jednotného trhu stále nedořešena a existuje mnoho variant dalšího vývoje. Po rozšíření Evropské unie na 27 členských států lze očekávat zpomalení a ztížení procesu harmonizace daní především z důvodu, že u většiny procedurálních otázek, které se týkají daní, je vyžadován souhlas všech členských států. Zároveň by však harmonizace a spolupráce v oblasti daní měla pokračovat vzhledem k vysokému zdanění práce (následně vyvolávající malou ochotu podnikatelů zaměstnávat další pracovníky), dále s ohledem na nepříznivý demografický vývoj (daně mohou sloužit jako významný stimul ovlivňující ekonomické chování osob), dále např. z důvodu rostoucího vlivu elektronických služeb atd. Z pohledu daní je nutno se zabývat zněním Lisabonské smlouvy. Pokud jde o přímé daně, bude i nadále platit, že veškeré směrnice ES v této oblasti budou přijímány Radou jednomyslně. Vyloučení daňových předpisů ze schvalování kvalifikovanou většinou v Radě zůstane zachováno.V oblasti nepřímých daní nedošlo vstupem Lisabonské smlouvy v platnost k zásadním věcným změnám. Harmonizace nepřímých daní bude i nadále možná jen jednomyslným rozhodnutím Rady po konzultaci s Evropským parlamentem a Hospodářským a sociálním výborem. Změnou je pouze doplnění podmínky, že harmonizace je nezbytná pro zabránění narušení hospodářské soutěže (tedy nejen pro vytvoření a fungování vnitřního trhu, jak tomu bylo dosud). Tato změna zohledňuje skutečnost, že vnitřní trh již byl vytvořen. Nenarušení hospodářské soutěže nicméně bylo běžně aplikovatelným principem v daňové oblasti již před vstupem Lisabonské smlouvy v platnost. Z pohledu míry harmonizace jednotlivých daní v Evropské unii jednoznačně převládá harmonizace nepřímých daní. Daně z přidané hodnoty jako univerzální všeobecná harmonizovaná daň je v současné době vnímána jako nezbytnost chodu společného trhu a de facto jako samozřejmost. V rámci DPH však má každý stát rozdílné sazby (odvíjející se od minimálních stanovených předpisy EU), rozdílné zatřídění jednotlivých položek atd. Přesto je daň z přidané hodnoty nejvíce harmonizovanou daní v jednotné Evropě. Oblast harmonizace spotřebních daní v prostoru Evropské unie je z mnoha pohledů komplikovaná. Obzvláště spotřební daně z alkoholu a alkoholických výrobků mají v mnoha zemích svůj historicky položený základ a jejich řízená harmonizace vyvolává značnou nevůli na straně těch členských států, kterých se to nejvíce dotýká. Druhá nepřímá daň tj. daň spotřební již toliko harmonizovaná není, neboť u ní se v plné šíři projevuje nevůle jednotlivých členských států nechat si do Evropské unie zasahovat do svých národních specifik (Francie – víno, Česko – pivo).. Nejvíce problémovou oblastí harmonizace daní v Evropské unii jsou přímé daně. Přestože harmonizaci přímých daní je věnován samotný článek Smlouvy o založení Evropského hospodářského společenství, v současnosti spíše probíhá jejich harmonizace prostřednictvím tzv. negativní harmonizace – tedy prostřednictvím judikátů Soudního dvora . rozdílnosti účetních systémů jednotlivých členských zemí (daňové účetnictví (Německo, Rakousko) x účetnictví (zejména anglosaských zemí)) a dále z důvodu neochoty členských států k další harmonizaci, kterou považují za zásahy do suverénních záležitostí, do vnitřní politiky, při možném využívání firemních daní jako nástroje hospodářské politiky každého státu. Otázka harmonizace přímých daní v zemích Evropské unie je velmi problematická a často politicky neprůchodná. V Evropské unii byly přijaty pouze čtyři směrnice, které však upravují oblast přímých daní relativně podstatným způsobem. Samotným problémem je zavádění CCCTB a systému zdanění v domovské zemi. Stále odkládání zavedení systému CCCTB a změny v něm vedou k nižší důvěře v tento systém. Ovšem je pravdou, že pro mnoho podnikatelských skupin působících ve většině států EU je současný systém daně z příjmů právnických osob neudržitelný. Nejprve se počítalo se zavedením v roce 2008, následně v roce 2010. Evropská komise nakonec dne 16. března 2011 zveřejnila dlouho očekávaný návrh směrnice o společném konsolidovaném základu daně z příjmů právnických osob. CCTB by v budoucnu mělo umožnit skupinám společností působícím v rámci EU podat jediné konsolidované daňové přiznání za celou skupinu v rámci EU. Jak již bylo zmíněno konsolidované zisky skupiny by pak byly rozděleny podle určitého vzorce na jednotlivé členy skupiny v jednotlivých členských státech a jednotlivé státy by na takto určené základy daně uplatnily svoje korporátní sazby daně. Nutno ovšem konstatovat, že zavedení těchto nových pravidel do praxe je podmíněno jednomyslným souhlasem všech členských států EU, přičemž implementace těchto pravidel do národních předpisů by pak byla pro jednotlivé členské státy EU povinná. Podle posledního Evropské komise by uplatnění CCCTB bylo pro jednotlivé skupiny společností v Evropské unii dobrovolné (každá skupina by se mohla rozhodnout, zda CCCTB použije pro výpočet základu daně celé skupiny bez možnosti ponechat mimo vybrané členy skupiny). Nespornými výhodami systému CCCTB by bylo administrativní zjednodušení a zprůhlednění systému zdanění společností v Evropě spočívající v konsolidaci hospodářských výsledků jednotlivých společností ze skupiny a následné transformaci na společný základ daně. České republika má k zavedení konsolidovaného základu daně postoj spíše rezervovaný. Česká republika by musela zavést skupinové zdanění a v takovém případě se oprávněně obává nepříznivých rozpočtových dopadů v důsledku kompenzace zisků a ztrát členů skupiny. Z výše uvedeného tedy plyne, že judikatura ESD v oblasti harmonizace daní hraje velmi důležitou a nezastupitelnou roli, ať už se jedná o tzv. „negativní harmonizaci“ či výklad, což dokazují i uvedené a citované rozsudky. Právě díky těmto rozsudkům se v EU a v rámci jejích právních předpisů podle mého názoru zvyšuje právní jistota a je podporována mimo jiné i zásada „legitimního očekávání“. Je zcela evidentní, že bez existence ESD či jeho „zásahů“ a usměrňování výkladu by cesta k harmonizaci daní v EU byla o mnoho složitější. Svou rolí napomáhá ESD k tomu, že harmonizace v rámci možností postupuje kupředu a její proces není tak zdlouhavý, jako by byl bez něj. Domnívám se, že role ESD je při této činnosti natolik výrazná, že lze úspěšně pochybovat, zda by alespoň současného stavu bylo jinou cestou dosaženo bez jeho pomoci. Současný vývoj politické diskuse ukazuje, že další proces integrace v rámci Evropské unie je politicky mimořádně složitou a ne zcela předvídatelně řešitelnou otázkou. To platí pro společnou evropskou politiku obecně, zvláště potom pro tak citlivou oblast, jakou je společná daňová politika. Dovoluji si vyslovit názor, že méně je někdy více a že by integrační snahy měly vycházet z objektivních potřeb daňové integrace a neměly by překračovat nezbytnou míry regulace při respektování specifik historického vývoje členských zemí. Komise vědoma si, jak je obtížné dosáhnout jednomyslnosti v rozhodování, se rozhodla pustit se cestou měkkého přístupu k harmonizaci práva: pomocí nezávazných právních nástrojů, jako např. Doporučení (čl. 249 Úmluvy EU), Pravidel jednání (politických gentlemanských dohod) po bilaterálních nebo multilaterálních poradách, a Komuniké jakožto směrnic o tom, jak sladit národní daňové zákony s názory ESD. Ve svém programovém dokumentu z roku 2001, udělala z nouze udělána ctnost a nahradila harmonizaci za koordinaci. Koordinace byla nezbytná, ale byla ztížena dvěma překážkami, a to podmínkou jednomyslnosti v daňových otázkách a nedostatkem celkového perspektivního povědomí členských zemí o hospodářských a sociálních dopadech neučinění patřičných rozhodnutí nevědomého podřízení se suverenity tržním tlakům v oblastech, které by měly zůstat výsadou veřejné politiky. Kromě toho, vzhledem k tomu, že transparence daňových pobídek se v členských zemích nezlepšila (ba právě naopak), pohrozila Komise uplatněním pravidel Úmluvy EU na státní podpůrné programy za účelem eliminace nekalé daňové konkurence, což vedlo k vydání tzv. černého seznamu (Primarolo Blacklist) škodlivých národních daňových opatření. Jak už bylo poznamenáno, Komise se v roce 2001 jednoznačně odvrátila od harmonizace směrem ke koordinaci; od tzv. tvrdého zákona k tzv. měkkému zákonu; a ke konzultacím a vzdělávání členských zemí poukazováním na důsledky, jaké rozhodnutí ESD mají pro jejich daňové systémy, která v případě nutnosti následovalo soudní řízení pro nedodržení Úmluvy. Výsledky nejsou ani zdaleka revoluční, přece jen se měkké zákony prokázaly jako přiměřeně úspěšné, i když je nutno přiznat, že nejvíce úspěchů bylo a je zaznamenáno v oblastech daňové legislativy, kde měkký přístup je doprovázen napřaženou velkou holí tvrdého zákona, obzvláště v oblastech omezování škodlivé daňové konkurence. Tam Komise v mnoha případech musela uplatnit své pravomoci plynoucí z Úmluvy a zakázat státní podporu, a v oblastech, kde Komise může navázat na případy řešené u ESD zákazem specifických národních daňových opatření (přeshraničních dividend, přeshraničních penzijních příspěvků a kapitálu, zdanění na výstupu, incentiv na výzkum a vývoj, a přeshraničních úlev ze ztrát). V samotné práci se tedy jednalo o popsání stavu současné harmonizace daní v EU a možnosti jejího dalšího vývoje. Problematika daňového práva v EU a jeho implementace do jednotlivých právních řádů členských států je řazena do fiskální části Finančního práva, a to konkrétně do oblasti mezinárodního daňového práva. Cílem disertační práce samotné tedy bylo rozebrat podrobně oblast harmonizace daní v Evropské unii zejména z pohledu jejich právních aspektů. Autor ve své práci nezabíhal do teoretických ekonomických detailů, které by spíše byly obsahem obdobné práce v doktorském studiu na ekonomicky zaměřené vysoké škole. Autor vzal v úvahu především právní regulaci této oblasti a naváže na teoreticky zpracované práce svých předchůdců. V rámci zpracování těchto údajů se autor snažil provést abstrakci od konkrétních postupů konkrétních systémů a jejich provozovatelů a jejich zobecnění na poznatky obecně platné, konkrétním údajům o konkrétních systémech se však nelze při rozboru matérie vyhnout. Proto autor počítá i s prací s dokumenty neprávními, převážně informativní a doporučující povahy, které v této oblasti na nejrůznějších úrovních existují. Regionální zaměření výzkumu bylo vzhledem k názvu práce do oblasti Evropské unie. Dílčími cíli práce bylo též objasnit rozdíly mezi harmonizací jednotlivých daní v EU, zohlednit současný vývoj harmonizace daní v souvislosti s rozšiřováním EU a s ekonomickou krizí.

Abstract:

Historically, the right to levy taxes belonged to one of the basic right of a sovereign country. Tax systems have undergone a long development. Together with the development of the world economy and world trade, there was a certain shift in the matter of harmonization of respective taxes or tax systems. The most harmonized tax system of several countries is the European Union. Tax policy of the European Union is nevertheless one of the most sensitive areas of the future development in the European Union. At present, the tax harmonization within the single market has still not been solved completely and there are many alternatives of a further development. After enlargement of the European Union to 27 member countries, a slow-down and complications of the tax harmonization process may be expected mainly due to the reason that in the case of the most of the procedural issues concerning the taxes, approval of all the member countries is required. At the same time, the harmonization and cooperation in the area of taxes should continue due to high taxes on labour (subsequently provoking low willingness of entrepreneurs to employ more employees), taking into account the adverse demographic development (taxes may serve as an important stimulus affecting economic behaviour of persons), and also due to growing influence of electronic services, etc.. It is necessary to deal with the wording of the Treaty of Lisbon. As far as direct taxes are concerned, it will still apply that any and all EC Directives shall be adopted in this area unanimously by the Council. The exclusion of tax regulations from the approval by a qualified majority shall be preserved in the Council. In the area of indirect taxes, no significant factual changes were made by the Treaty of Lisbon having become valid. Harmonization of indirect taxes shall be possible only by unanimous decision of the Council after the consultation with the European Parliament and the European Economic and Social Committee. The only change is the added condition that the harmonization is necessary in order to prevent the disturbance of economic competition (i.e., not only to create and make the internal market work, as was the case until now). This change takes into account the fact that the internal market has already been established. Nevertheless, the non-disturbance of economic competition was a commonly applicable principle in the tax area already before the Treaty of Lisbon became valid. From the point of view of the harmonization level of respective taxes in the European Union, harmonization of indirect taxes clearly prevails. The value added tax as the universal general harmonized tax is today viewed as a necessity for the common market operation and as a matter of fact. However, within VAT, each country has different tariffs (based on the minimum tariffs prescribed by the EU regulations), different classification of respective items etc.. In spite of that, the value added tax remains one of the most harmonized taxes in the unified Europe. The area of consumer taxes harmonization in the European Union space is very comprehensive due to many aspects. Especially, the consumer taxes on alcohol and alcoholic products have strong historical background in many countries and their controlled harmonization provokes significant animosity of those member countries which are affected most by it. The second indirect tax, i.e. the consumer tax is not harmonized that much because the animosity of the respective member countries to let the European Union interfere with their national specifics manifests itself in full (France – wine, Czech Republic – beer). The most problematic area of the tax harmonization in the European Union is the area of direct taxes. In spite of the fact that a separate Article of the Treaty Establishing the European Community is dedicated to the harmonization of direct taxes, at present, their harmonization is done more through the so-called negative harmonization –

i.e. through court decisions of the European Court of Justice . As already said earlier, the harmonization process has been stagnating in this area, due to differences in accounting systems of the respective member countries (tax accounting (Germany, Austria) x accounting (namely of Anglo-Saxon countries)), and also due to unwillingness of the member countries to further harmonization which the countries view as interference into the sovereign matters, and home politics as the corporate taxes may be used as a tool of each country´s economic policy. The issue of harmonization of direct taxes in the European Union countries is very problematic and very often politically unfeasible. There were only four directives adopted in the European Union which nevertheless govern the area of direct taxes in a relatively significant manner. A separate problem is the introduction of the CCCTB and the taxation system in the home country. The perpetual postponing of the CCCTB system´s introduction and the changes in it result in the fading trust in this system. Nevertheless, it is true that the current system of corporate income tax is not sustainable for many business groups operating in most of the EU countries. The system was to be introduced in 2008, firstly, and then in 2010. At the end, the European Commission published the long-awaited draft directive on the common consolidated tax base for the corporate income tax, on 16 March 2011. The CCTB should allow the groups of companies operating within the EU to file a single consolidated tax return for the entire group within the EU, in the future. As already mentioned, the consolidated profits of the group would then be divided according to a certain formula to the respective members of the group in the respective member countries and the respective countries would apply their corporate tax tariffs. Nevertheless, it must be said that the introduction of these new rules into the practice is conditioned by unanimous approval of all the member countries of the EU with the implementation of these rules into the national regulations to be mandatory for the respective EU member countries. According to the latest draft of the European Commission, the application of the CCCTB would be voluntary for the respective groups of companies in the European Union (each group could decide whether to use taxes of the entire group for the calculation of the tax bases without any option to leave out selected members of the group). The indisputable advantages of the CCCTB system would be the administrative simplification and greater clarity of the taxation system of companies in Europe consisting in the consolidation of profits or losses of the respective companies in the group and the subsequent transformation to the common tax base. The attitude of the Czech Republic to the introduction of the consolidated tax base is rather reserved. The Czech Republic would have to introduce group taxation and in such a case, the country quite justly fears the adverse impacts on the budget due to the compensation of profits and losses of the group members. Therefore, it arises from the above stated that the practice of the European Court of Justice in the area of the tax harmonization plays a very important and irreplaceable role, whether in the area of the so-called negative harmonization or the interpretation as evidenced by the stated and quoted judgements. In my opinion, it is thanks to these judgments why the legal certainty keeps increasing in the EU and within its legal regulations thus supporting the principle of “legitimate expectations”, among others. It is absolutely clear that without the existence of the ECJ or its ”interferences” and alignment of interpretation the road to the tax harmonization in the EU would be much more difficult. The ECJ in its role helps to the progress of the harmonization as much as possible making the whole process less lengthy as it would otherwise be without the ECJ. I believe that the ECJ´s role is so significant in this activity that it may be successfully doubted whether the current state, at least, would ever be reached in another manner and without the help of the European Court of Justice. The current development of political discussion shows that further integration process within the European Union is an extraordinarily complex issue difficult to predict in terms of its solution. This applies for the common European policy in general and more so for the sensitive area of the common tax policy. I dare to think that less may be more sometimes and that the integration efforts should come from the objective needs of tax integration and should not exceed the necessary level of regulation while respecting the historical development specifics of the member countries. The Commission, aware of how difficult it is to reach unanimity in the decision-making, decided for the soft approach to law harmonization: through non-obligatory legal instruments, as for instance Recommendation (Article 249 of the Treaty on European Unity), Rules of conduct (political gentlemen´s agreements) after bilateral or multilateral meetings and Communications as directives on how to align national tax laws with opinions of the ECJ. In its programme document from 2001, the stress was turned into a virtue and harmonization was replaced by coordination. The coordination was necessary but it was hindered by two obstacles – the condition of unanimity in tax issues and the insufficient general perspective awareness of the member countries on the economic and social impacts of not making the adequate decisions on unaware submission of the sovereignty to the market pressure in the areas which should have remain the privilege of the public policy. Apart from that, taking into account that the transparency of tax incentives did not get any better in the member countries (rather the opposite, sadly), the Commission has threatened to apply the rules of the EU Treaty on the state subsidy programmes in order to eliminate unfair tax competition which resulted in the issue of the so-called Primarolo Blacklist of the harmful national tax measures. As already mentioned, the Commission explicitly turned from harmonization to the coordination in 2001; i.e. from the so-called hard law to the so-called soft law; and to the consultations and education of the member countries by drawing attention to the consequences which the decisions of the ECJ have for their tax system which was followed by court proceedings due to failure to adhere to the Treaty, where it was necessary. The results are not revolutionary by far but still, the soft law turned out to be adequately successful even though it must be admitted that the biggest success has been and is witnessed in the area of tax legislation where the soft approach is accompanied with a big stick of the hard law, especially in the area of reducing the harmful tax competition. In that area, the Commission had to exercise its powers arising from the Treaty in many cases and ban the state subsidies and in the area where the Commission can follow the cases addressed with the ECJ by banning specific national tax measures (cross-border dividends, cross-border pension contributions and capital, taxation on output, incentives for research and development and cross-border loss relief). The thesis therefore intended to describe the current state of the tax harmonization in the EU and the possibilities of its further development. The issues of tax law in the EU and its implementation into the respective systems of law of the member countries is included in the fiscal part of financial law, specifically in the area of international tax law. The objective of the thesis was therefore to analyze in detail the area of taxes harmonization in the European Union, mainly from the point of view of its legal aspects. The author did not venture into theoretical economic details in the thesis which would be more suitable for a similar thesis in doctoral studies of a university specializing in economics. The author took into account the legal regulation of this area to follow the theoretical work of the author´s predecessors. During the processing of these data, the author tried to perform abstraction from the specific procedures of the specific systems and their operators and their generalization to the generally valid findings, nevertheless, it is impossible to avoid specific data about specific systems while analyzing the material. The author, therefore, also counts with the work with non-legal documents, mostly of informative and recommendation nature, which exist in the area on the various levels. The research was regionally oriented to the European Union, given the thesis title. Sub-objectives of the thesis were to explain the differences in the harmonization of respective taxes in the EU, take into account the current development of the tax harmonization in connection with the EU enlargement and the economic crisis.
