Criminal liability of legal persons

Abstract:

Tématem této diplomové práce je "trestní odpovědnosti právnických osob". Práce je rozčleněna do šesti hlavních kapitol. První kapitola se věnuje obecným aspektům trestní odpovědnosti právnických osob, její stručné historii na pozadí kontinentální právní kultury, jakož i základním pojmům, které se k této otázce neodmyslitelně pojí. Druhá a současně nejrozsáhlejší kapitola této práce pojednává o právní úpravě trestní odpovědnosti právnických osob v České republice, kterou provádí zákon č. 418/2011 Sb., o trestní odpovědnosti právnických osob a řízení proti nim. Tato část je zaměřena pouze na analýzu hmotněprávní části zákona včetně otázky sankcionování právnických osob, kde si autor klade za cíl především přiblížit čtenáři podmínky, za kterých může být právnická osoba trestně odpovědná a současně poukázat na některé problematické pasáže tohoto zákona. Třetí kapitola bezprostředně navazuje na kapitolu druhou, neboť se věnuje zásadním změnám, které do české právní úpravy přinesla dosud nejvýznamnější novela provedená zákonem č. 183/2016 Sb. a též některým úskalím souvisejícím s touto novelou. Čtvrtá kapitola pojednává o některých aktuálních otázkách z oblasti trestní odpovědnosti právnických osob, kde se autor zabývá především otázkou účelnosti trestního stíhání některých právnických osob. Obsahovou náplní páté kapitoly je stručná komparatistika české právní úpravy trestní odpovědnosti právnických osob s právními úpravami uplatňovanými ve Slovenské a Rakouské republice. Na úplný závěr se autor v šesté kapitole pokouší prezentovat některé statistické údaje kriminality právnických osob za vybraná období. Podrobnější údaje jsou pak promítnuty v přílohové části této práce.

Abstract:

The topic of this diploma thesis copes with the criminal liability of legal persons. The whole thesis is divided into six main chapters. First chapter deals with general aspects of criminal liability of legal persons, its brief history in context of the continental legal culture and the basic concepts tightly connected to this issue. Second and the most comprehensive chapter of the thesis involves the legal regulation of the criminal liability of legal persons in the Czech Republic as implemented by Act No. 418/2011 Coll. on Criminal Liabilty of Legal Persons and the proceedings against them. This part focuses solely on the analysis of the substantive part of the Act as well as the sanctioning of the legal persons with the the main aim of the author to describe the conditions under which a legal person may be criminally liable and bring this topic closer to the reader, while pointing out some of the more problematic parts of this Act at the same time. Third chapter is tied to the second one by following the major alterations brought to the Czech Legal Regulation by the most significant amendment implemented by Act No. 183/2016 Coll., as well as some of the obstructions associated with this amendment. Chapter Four deals with some of the current issues of the criminal liability of legal persons, where the author follows the question of effectiveness of the prosecution of certain legal persons. A brief comparative study of the Czech Legal Regulation of criminal liability of legal persons with legal amendments applied in Slovakia and Austria is the main content of the fifth chapter. Finally, the sixth chapter is dedicated to the comprehensive presentation of some of the statistical data dealing with the criminality of legal persons for selected time periods. More detailed data are presented in the annex of this work.
