Abstract:

Tato diplomová práce se zabývá přeměny obchodních společností se zvláštním zřetelem na rozdělení. V této práci byl zmíněn vývoj regulací přeměn, od jeho počátků v jednotlivých zákonech až po ucelenou úpravu v současné právní úpravě. Dále byly řešeny přeměny obecně, její druhy, projekt přeměny, práva a povinnosti společníků, akcionářů a členů a dále účetní a daňové otázky u přeměn. Protože hlavním tématem je rozdělení akciové společnosti, je velká část věnována tomuto typu přeměny. Nakonec práce pojednávala o křížovém rozdělení a.s. a s.r.o., srovnávala rozdělení a.s. a evropské společnosti a dále pak právní úpravu v ČR a v USA.

Abstract:

This dissertation deals with Transformations of business corporations with special consideration on spin-offs. In this work was introduced historical development of regulations concerning this issue from the regulations which were comminuted at the beginning to the actual Transformations of business corporations and societies Act. Afterwards were mentioned transformations of business corporations in general, their types, project of transformations, rights and obligations of associates, shareholders and members and then there were mentioned the transformations in accounting´s and tax´s point of view. Because the main topic of this dissertation is spin-off of joint stock Company, the big part of this work is dedicated to this type of transformations. Finally there were mentioned cross spin-off of joint stock Company and limited liability Company, comparison between spin-off of joint stock Company and spin-off of Societas Europea and the comparison between spin-off in Czech legal system and U.S. legal system.
