Consolidation, merger and distribution cooperatives

Abstract:

Bachelors work with the various forms of abolition of cooperatives without liquidation , specifically consolidation, merger and distribution. The first chapter was devoted to the theoretical definition of the concept of cooperatives in terms of business - legal in the Czech and Slovak legislation . The second chapter in the introductory section elaborates the issue of revocation and termination of cooperatives in the next section is devoted attention to the issue of cancellation of cooperatives in the form of mergers , in legislation in the Commercial Code and the new legislation in the Czech Republic after the recodification of private law by the trade corporations. The third chapter focuses on another form of cancellation cooperatives without liquidation , specifically distribution cooperatives in terms of Slovak legislation and the allocation of new legislation in the Czech Republic . The fourth chapter describes Cooperatives and its legislation is aimed similarly as a core part of this thesis on the issue of revocation Cooperatives form of consolidation, merger and distribution.

Abstract:

Bakalárska práca sa zaoberá jednotlivými formami zrušenia družstiev bez likvidácie, konkrétne splynutím, zlúčením a rozdelením. Prvá kapitola bola venovaná teoretickému vymedzeniu pojmu družstva z pohľadu obchodno – právneho v slovenskej a českej právnej úprave. Druhá kapitola v úvodnej časti rozvádza problematiku zrušenia a zániku družstiev, v ďalšej časti sa venuje pozornosť problematike zrušenia družstiev formou splynutia a zlúčenia, a to v právnej úprave v Obchodnom zákonníku a v novej právnej úprave v Českej republike po rekodifikácii súkromného práva, v Zákone o obchodných korporáciách. Tretia kapitola je zameraná na ďalšiu formu zrušenia družstiev bez likvidácie, konkrétne rozdelenie družstiev z pohľadu slovenskej právnej úpravy a rozdelenie v novej právnej úprave ČR. Štvrtá kapitola charakterizuje Eurodružstvo a jeho právnu úpravu, je zameraná podobne ako ťažiskové časti tejto bakalárskej práce na problematiku zrušenia Eurodružstva formou splynutia, zlúčenia a rozdelenia.
