Legal Adjustment of Changes and its Record into Registrar of Companies

Abstract:

Tato bakalářská práce se zabývá právní úpravou změn při zápisech do obchodního rejstříku. Popisuje podstatné změny, které mají vliv na fungování společnosti a družstev a jsou i ve vztahu ke třetím osobám a podléhají povinnému zápisu do obchodního rejstříku. Obchodní rejstřík je veden rejstříkovými soudy a informace o obchodních korporacích jsou zde veřejně k dispozici. Největší pozornost je zaměřena na změny v jednotlivých obchodních korporacích a obligatorním náležitostem při zápisech. Na příkladu konkrétní společnosti, společnosti s ručením omezeným jsou představeny některé změny. V poslední kapitole jsou uvedeny sankce vyplývající z nesplnění povinností zápisů změn do obchodního rejstříku.

Abstract:

This thesis deals with the legislation changes in registration in the Commercial Register. It describes the significant changes that affect the functioning of companies and cooperatives are also in relation to third parties and subject to mandatory registration in the Commercial Register. Business Register is kept by registration courts and information on business corporations are publicly available. Most attention is focused on changes in individual business corporations and hook obligatory enrollment. The example of a company, limited liability company presents some changes. The last chapter lists penalties arising from failure to change entries in the Commercial Register..
