Minority Shareholders’ Rights

Abstract:

Tato diplomová práce se zabývá právy tzv. kvalifikovaných akcionářů, tj. akcionářů s určitým podílem na základním kapitálu společnosti. V práci jsou postupně rozebrána jednotlivá práva jim náležející, včetně způsobu jejich realizace. Zvláštní pozornost je věnována akcionářským žalobám podávaným akcionáři jménem společnosti. Opomenuta není ani problematika procesu nuceného přechodu účastnických cenných papírů, stejně tak právo odkupu. To vše v souvislosti s ochranou poskytovanou akcionářské minoritě.

Abstract:

This thesis deals with the rights of so-called minority shareholders, i.e. the shareholders with certain proportion of issued share capital of a company. Particular rights belonging to them, including means of execution, are analysed in the thesis. Special attention is paid to a shareholder derivative suit brought by the shareholders on behalf of the company. The issues of squeeze-out and sell-out are analysed as well. All of this in connection with the protection provided for minority shareholders.
