Contractual Penalty as a Commitment Ensuring Institute

Abstract:

Diplomová práce je zaměřena na komplexní posouzení smluvní pokuty jakožto zajišťovacího institutu občanského práva. Výchozí právní úpravou je zákon č. 89/2012 Sb., občanský zákoník. Cílem této práce je nastínit a analyzovat problematické aspekty smluvní pokuty a konfrontovat její minulou právní úpravu s úpravou nynější v rámci legislativního kontextu a z této konfrontace vyvodit použitelné závěry. První kapitola nastiňuje krátkou historii institutu smluvní pokuty. Druhá kapitola se zabývá povahou smluvní pokuty a jejím místem v soukromém právu, třetí kapitola je pak věnována formě ujednání o smluvní pokutě a její výši. Čtvrtá kapitola vysvětluje rozdíl mezi pojmy zajištění a utvrzení dluhu. Pátá kapitola se zaměřuje na komparaci institutu smluvní pokuty v občanském a obchodním zákoníku. Šestá kapitola zkoumá dosavadní judikaturu tohoto institutu a její vztahy k nové právní úpravě. Závěrečná sedmá kapitola pak nabízí srovnání naší právní úpravy smluvní pokuty se zahraničními právními úpravami.

Abstract:

This thesis is devoted to the institute of the contractual penalty, which is currently a phenomenon in the ways to ensure commitments. Although the current terminology newly includes it among the ways of affirmation of a debt, there is no doubt that the contractual penalty can be classified among the traditional private institutes. The contractual penalty is in Act No. 89/2012 Coll., Civil Code, regulated in paragraphs 2048 to 2052. The aim of this thesis is to use a selected methodology to outline and analyse the problematic aspects of the contractual penalty in private law and to confront the past regulation with the current regulation within the legislative context and to draw conclusions from that applicable. The first chapter outlines brief history of the institute. The second chapter deals with the nature of the contractual penalty and its place in private law while the third chapter is devoted to the agreement of the contractual penalty and determining its amount. The fourth chapter deals with a difference between affirmation of a commitment and a security of a commitment. The fifth chapter contains comparation of the institute in civil code and commercial code valid until 2012 and in the new legislation. The sixth chapter evaluate jurisprudence in the terms of new legislation. The last seventh chapter offers comparation between Czech legislation and legislation of Germany republic and Slovak republic.
