Business Valuation with Emphasis on Selected Specifics of valuation for squeeze-out purposes

Abstract:

Cílem práce je analyzovat specifika nuceného přechodu účastnických cenných papírů při oceňování podniků a v návaznosti poté provést ocenění konkrétního podniku za účelem stanovení výše přiměřeného protiplnění při fiktivním squeeze-outu. Práce je rozdělena na teoretickou a praktickou část. V teoretické je rozebírán squeeze-out a jeho specifika s dopadem na praxi oceňovatelů. Praktická část, jejímž výstupem je ocenění konkrétního podniku, zahrnuje finanční analýzu, na jejímž základě je vyhotoven finanční plán, strategickou analýzu, jejímž účelem je prověřit trh a konkurenční pozici oceňovaného podniku, a ocenění. Ocenění je provedeno k 1. 1. 2020 metodou DCF APV a výsledná hodnota podpořena hodnotou odhadnutou metodou srovnatelných podniků. Jako oceňovaný podnik byl zvolen Plzeňský Prazdroj, a.s., neboť byl jedním z prvních podniků v tuzemsku, u něhož byl squeeze-out proveden.

Abstract:

The aim of this thesis is to analyse the specifics of the transfer of participating securities in the valuation of business and then to perform the valuation of a particular company in order to determine the amount of reasonable consideration in a fictitious squeeze-out. The thesis is divided into theoretical and practical part. The theoretical one discusses the squeeze-out and its specifics with an impact on the practice of appraisers. The practical part, the output of which is the valuation of a particular business, includes financial analysis, on basis of which a financial plan is prepared, strategic analysis, the purpose of which is to examine the market and competitive position of the valued business, and valuation. The valuation is performed as of January 1st 2020 using the DCF APV method and the resulting value is supported by value estimated by the method of comparable businesses. Plzeňský Prazdroj, a. s. was chosen as valuated business as it was one of the first businesses in the country to carry out the squeeze-out.
