Shareholder Claims in International Investment Law

Abstract:

Investiční arbitráž je v posledních letech předmětem značné kritiky. Jedním z kritizovaných aspektů je také inkonzistence rozhodovací praxe. Nedávná studie OECD problém nekonzistentních rozhodnutí řešila též v souvislosti s nároky akcionářů. Na to navazuje i předkládaná práce. Z analýzy rozhodovací praxe investičních tribunálů bylo zjištěno, že existuje pět základních typů nároků akciopnářů. Tyto nároky jsou v práci blíže popsány, včetně jejich posouzení tribunály z hlediska jurisdikce. Nadto se práce zaměřuje na ověření dvou tezí vycházejících ze studie OECD. Autorka na základě analýzy rozhodnutí zjistila, že derivativní nároky akcionářů jsou skutečně posuzovány odlišně od vnitrostátních právních řádů. V souvislosti s kritikou OECD týkající se nekonzistentní rozhodovací praxe však autorka dospěla k opačnému závěru, a to, že mezinárodní tribunály ve skutečnosti posuzují nároky akcionářů konzistentně, avšak z pohledu jiných kritérií.

Abstract:

Investment arbitration has been subjected to vast critisism throughout recent years. One of the criticized aspects of investment arbitration was inconsistency in arbitral decisions. Recent study conducted by OECD addressed the issue of inconsistency in relation to shareholders’ claims. This OECD research also creates the starting-point for this thesis. Based on the case law analysis, five elementary types of shareholders’ claims are identified. These types are further described together with their evaluation in relation to the jurisdiction. Additionally, the thesis is focused on verification of two statements articulated in the OECD study. The case law analysis conducted in the thesis leads to a conclusion that derivative claims in investment arbitration are assessed differently from those assessed within the framework of municipal law. The case law analysis also reveals that investment arbitration tribunals render fairly consistent decisions, albeit on different criteria than those presented in the OECD study.
