Corporate governance in the cooperative

Abstract:

Cílem této diplomové práce na téma „Corporate governance v družstvu" je analýza a vyhodnocení fungování správy a řízení družstva s následným navržením doporučení pro odstranění slabých míst v řízení a správě daného družstva. Práce je rozdělena do dvou částí, a to na teoretickou a praktickou, kdy v první části nejprve teoreticky vymezuji pojem corporate governance, kdo jsou to stakeholdeři jednotlivé organizace, dále se věnuji jednotlivým modelům corporate governance a corporate governance v České republice. Poslední kapitolou teoretické části je charakteristika družstva z pohledu českého práva a zaměření na největší rozdíly oproti akciové společnosti a založení a vznik družstva s přihlédnutím k nové právní úpravě, která nabyla účinnosti dne 1.1.2014. V praktické části diplomové práce jsem teoreticky vymezené poznatky z první části diplomové práce aplikoval na vybrané družstvo. Při této aplikaci jsem se zejména zaměřil na orgány družstva, jejich fungování či případné nefungování, kdy jsem vedení družstva přímo doporučoval některé změny, které se domnívám by mohly být pro budoucí fungování družstva přínosem.

Abstract:

The aim of this diploma thesis „Corporate governance in the cooperative" is an analysis of the effectiveness of corporate governance in the cooperative. At the end of the analysis I tried to suggest several solutions regarding the weaknesses in the corporate governance in the cooperative. This diploma thesis is divided in two parts (i.e. theoretical and practical part). In the first part I defined a term “corporate governance”, stakeholders in the organization, then I focused on specific corporate governance models and on corporate governance model in the Czech Republic. The last chapter of the theoretical part of this diploma thesis describes main characteristics of a cooperative under Czech law and main differences between the legal aspects of the cooperative and joint stock company and differences between the legal aspects of the cooperative under Act no. 90/2012 Coll., on business corporations. In the practical part I applied knowledges from the theoretical part to the chosen cooperative. I mainly focused on the bodies of the cooperative, their operation or non-operation and I recommended directly to the chairman of the cooperative several changes, which might improve the effectiveness of corporate governance in the cooperative.
