Setting up and operation of Investment companies and funds in the Czech republic

Abstract:

Diplomovou práci jsem rozdělil do čtyř hlavních částí. První část práce pojednává o právní úpravě investičních společností. V této části jsem popsal založení a vznik investiční společnosti, pravidla činnosti a hospodaření, co se rozumí odbornou péčí a zároveň jsem popsal kompletní systém vnitřních předpisů, tzn. jakými vnitřními předpisy by měla daná investiční společnost disponovat. V druhé části práce jsem se zaměřil na fondy kvalifikovaných investorů z pohledu práva. Dále jsem se věnoval nejen pojmu, kdo je kvalifikovaný investor, jaké právní formy fondu existují, ale pokusil jsem se rovněž vysvětlit pojmy jako investiční akcie a zakladatelské akcie, kdo je administrátorem či depozitářem fondu. Ve třetí části jsem obecně shrnul, jaké typy fondů mohou v praxi existovat. Ve čtvrté části práce jsem se zabýval praktickou stránkou této problematiky, a to zejména jaký vliv měla právní úprava GDPR na fondy kvalifikovaných investorů, zda směrnice PRIPS měla požadavky na fondy kvalifikovaných investorů a rovněž jsem se v této práci věnoval vývoji fondů z regulatorního, ekonomického či daňového pohledu. V této části jsem také provedl analýzu trhu existujících a nově vznikajících investičních společností a fondů kvalifikovaných investorů v České republice včetně objemu aktiv v jejich správě podle jednotlivých kalendářních let a dále tyto údaje pak porovnával s vývojem související legislativy. Toto porovnání a vliv legislativy na rozvoj tohoto sektoru jsem poté vyhodnotil.

Abstract:

I have divided the thesis into four main parts. The first part of the thesis deals with the legal regulation of investment companies. In this section I have described the establishment and creation of investment company, rules of activity and management, what is meant by professional care and at the same time I have described a complete system of internal regulations, ie. what internal regulations should be available to the investment company. In the second part I focused on legal regulation of funds for qualified investors. In this section, I was focusing on who is a qualified investor, what legal forms of a fund exist, but I have also tried to explain concepts such as investment shares and founding shares, who is the fund administrator and depositary. In the third part I summarize in general what types of funds can exist in practice. In the fourth part I deal with the practical aspect of this issue, how the legal regulation of GDPR influence the funds for qualified investors, whether the PRIPS Directive had requirements for funds for qualified investors and I focused on the development of funds from a regulatory, economic and tax perspective. In this part, I also analyzed the market of existing and newly created investment companies and funds for qualified investors in the Czech Republic, including the assets under their management by calendar year and further compared these data with the development of related legislation. This comparison and the impact of legislation on the development of this sector I then evaluated.
