Ban on Competition in Business Companies in Current and New Legislation

Abstract:

Tato práce se zabývá zákonnou úpravou zákazu konkurence v obchodních společnostech v současné a nové právní úpravě. První část je zaměřena na obecné otázky týkající se zákazu konkurence, společně s ohledem na její dosavadní vývojové tendence. V druhé části jsou popisovány současné výkladové možnosti a komparace s úpravou novou ve 4 základních typech obchodních společností, tj. veřejné obchodní společnosti, komanditní společnosti, společnosti s ručením omezeným a akciové společnosti. Výsledkem práce je stručný výčet kladů a záporů nové úpravy s návrhem na jejich změnu.

Abstract:

This thesis compare the current legal rules regulating prohibition of competitive negotiations in business companies with the new legislation come into force from. The first part is focused on general questions related to prohibition of competitive negotiations, with respect to its current trends. The second part of this diploma thesis is focused on the interpretation possibilities of current legislation, comparison with a new legislation which come into force. The comparision is made in 4 basic types of business companies ie, public companies, limited partnerships, limited liability companies and joint stock companies. The conclusion of this thesis is a brief list of the positives and negatives aspects of the new legislation which come into force and my proposal for legislativ changes is also included.
