Procedural Features of Preventive Restructuring Framework

Abstract:

Rigorózní práce se zabývá procesním rámcem preventivní restrukturalizace, tedy postupu, který má být do vnitrostátního práva implementován na základě směrnice o restrukturalizaci a insolvenci. V práci je rozebrán především účel směrnice a požadavky, které z ní plynou pro členské státy. Následně je představena procesní úprava preventivní restrukturalizace ve třech evropských zemích (Francie, Nizozemsko, Německo), jež může sloužit jako možný vzor pro vnitrostátní transpoziční předpis, který stále nemá definitivní podobu. Výklad v další části je zaměřen na koncepční problémy tuzemské implementace (návrhu zákona o preventivní restrukturalizaci). Na závěr práce je zhodnoceno, do jaké míry odpovídá navrhovaný legislativní rámec účelu a požadavkům směrnice v procesní oblasti.

Abstract:

The following thesis deals with the procedural framework of preventive restructuring, the procedure to be implemented into national law on the basis of the Directive on Restructuring and Insolvency. In particular, the purpose of the Directive and the requirements for the member states arising from it are discussed. It then presents the procedural arrangements for preventive restructuring in three European countries (France, the Netherlands, Germany), which may serve as a possible model for a national transposition regulation that is still not yet finalized. The next part of the thesis focuses on the conceptual problems of the domestic implementation law proposal. The paper concludes by assessing to what extent the proposed legislative framework meets the purpose and requirements of the Directive in the procedural area.
